About the job Legal Counsel (Marine/Service Provider)

  • Help with all phases of mergers and acquisitions, investments, and other strategic transactions, including due diligence, transaction document preparation and negotiation, closing support, and post-closing integration.
  • Drafting and helping to prepare materials for committee and board meetings.
  • Supporting additional unique corporate initiatives.
  • Collaborating closely with both external advisors and our internal business teams.
  • Creating and negotiating contracts for a range of commercial endeavors.
  • Supplying the functional teams in HR, finance, marketing, technology, supply chain, and operations with legal support
  • Providing guidance on risks and aiding in the execution of the group compliance program (e.g. competition law, bribery and corruption, money laundering, trade sanctions, data privacy).
  • Assisting with group governance and secretarial requirements for the business.

The chosen candidate should exhibit the following abilities and qualities:

  • 5 years of PQE and qualified as a solicitor in both England and Wales.
  • Prior experience working in a mid- or upper-tier legal firm's corporate team.
  • Familiarity with a range of national and international business issues, such as mergers and acquisitions, corporate restructuring, entity formation, and joint ventures.
  • Familiarity with managing outside counsel, conducting diligence, overseeing closings, and drafting and negotiating transaction documents.
  • Sensible and astute business judgment.
  • Strong interpersonal abilities; capable of demystifying complicated topics in an understandable and appealing way.
  • The capacity to efficiently oversee tasks with little guidance.
  • Excellent interpersonal abilities and background working in a multicultural, international setting.
