About the job Head of Legal

Our client, a prominent publicly listed mining holding group in Indonesia, is seeking an experienced, strategic, and business-focused Head of Legal. Reporting directly to the Board of Directors, this role will oversee all legal affairs, corporate governance, regulatory compliance, legal risk management, and contract negotiation across holding operations and mining subsidiaries.

Key Responsibilities

1. Strategic Legal Counsel & Governance

  • Act as the primary legal advisor to executive management and the Board of Directors on corporate strategy, regulatory compliance, and business risks.
  • Ensure strict adherence to OJK (Financial Services Authority) and IDX (Indonesia Stock Exchange) regulations for public company operations, disclosures, and shareholder relations.
  • Lead corporate secretarial legal functions, including general meetings of shareholders (RUPS), board meetings, and regulatory filings.

2. Mining Operations & Regulatory Compliance

  • Oversee legal compliance related to mining concessions, IUP/IUPK licenses, environmental permits (AMDAL), land acquisition, and forestry usage permits (PPKH/IPPKH).
  • Monitor evolving mining, legal, environmental, and trade legislation in Indonesia to proactively mitigate operational risks.
  • Interface with government authorities, regulatory bodies, and industry associations.

3. Commercial Contracts & M&A Transactions

  • Draft, review, and negotiate complex commercial agreements, including off-take agreements, joint ventures, mining service contracts, financing facilities, and EPC contracts.
  • Lead legal due diligence and structure domestic/cross-border M&A transactions, corporate restructuring, and capital market initiatives.

4. Dispute Resolution & Risk Management

  • Oversee litigations, arbitrations, labor disputes, and regulatory investigations, managing external counsel effectively to minimize legal exposure.
  • Develop and implement enterprise-wide legal risk management frameworks, internal policies, and compliance training.

5. Leadership & Team Development

  • Lead, mentor, and build an agile in-house legal team.
  • Manage legal department budgets and establish relationships with top-tier external legal counsel.

Requirements & Qualifications

  • Education: Bachelor's Degree in Law  from a reputable university. A Master's in Law (LL.M.) or specialized corporate law degree is preferred.
  • Professional Certification: Active Advocate License (PERADI) is required.
  • Experience: Minimum 12–15+ years of post-qualification legal experience, with significant senior leadership experience handling legal affairs for publicly listed holding companies (Tbk) or major natural resources/mining entities.
  • Expertise:

    • Deep technical knowledge of Indonesian Mining Law (UU Minerba), Corporate Law (UU PT), Capital Market regulations (OJK/IDX), and land/environmental regulations.
    • Proven track record in complex cross-border commercial transactions, legal due diligence, and capital markets/corporate finance.
  • Language Skills: Full professional fluency in both Bahasa Indonesia and English (written and spoken).
  • Leadership Attributes: High integrity, strong business acumen, exceptional negotiation skills, and executive-level stakeholder management capabilities.
