Position Overview:

The AVP Mergers & Acquisitions (M&A) will play a critical role in driving the strategic growth initiatives of the conglomerate group within the agribusiness sector. This role involves leading M&A activities, including sourcing and evaluating potential deals, conducting financial and commercial due diligence, and preparing detailed presentation materials for senior management. 

Job Responsibilities:
- Lead the identification, assessment, and execution of M&A opportunities aligned with the companys strategic objectives within the agribusiness sector.
- Collaborate with senior management to define M&A strategies, targets, and timelines.
- Develop and maintain complex financial models to evaluate potential acquisition targets, including sensitivity analyses and scenario planning.
- Assess the financial viability of proposed projects by analyzing financial statements, projections, and valuation methodologies.
- Source and analyze market data from public and private sources to conduct comprehensive commercial due diligence.
- Prepare detailed market studies to support the evaluation of potential acquisitions and strategic investments.
- Prepare high-quality presentation decks for project pitches and management reviews, articulating key findings, strategic rationale, and financial implications.
- Develop and present information memorandums and executive summaries for potential deals.
- Draft, review, and negotiate key legal documents related to M&A activities, including term sheets, MOUs, JV agreements, and sale & purchase agreements.
- Work closely with legal teams to ensure all legal documentation aligns with the company's objectives and complies with regulatory requirements.
- Lead and coordinate the full due diligence process, including financial, tax, legal, operational, and commercial assessments.
- Manage relationships with external advisors, including consultants, legal counsel, and financial institutions, to ensure comprehensive due diligence.
- Build and maintain strong relationships with internal stakeholders, including senior executives and department heads, to ensure alignment on M&A activities.
- Engage with external stakeholders, including potential targets, advisors, and industry experts, to drive deal execution.

Requirement : 

- Professionals with M&A or corporate finance experience from Big 4 firms, private equity, consulting firms, or senior corporate finance roles in MNCs or Indonesian conglomerates.
- At least 8-10 years of experience in M&A, corporate finance, or a related field, preferably within a conglomerate, MNC, private equity, or consulting firm.
- Extensive experience in financial modeling, valuation, and due diligence processes.
- Proven track record of successfully executing M&A deals in the agribusiness or related sectors.
- Strong understanding of legal documentation and contract negotiation.
- Exceptional analytical skills with the ability to synthesize complex data into actionable insights.
- Excellent presentation and communication skills, with experience preparing and delivering presentations to senior management.
- Ability to manage multiple projects simultaneously and work effectively in a fast-paced, dynamic environment.
