Key Responsibilities:
- Contract Management:
- Draft, review, and negotiate a wide range of commercial contracts, including service agreements, procurement contracts, and real estate leases.
- Provide legal advice on contract-related issues, ensuring compliance with relevant laws and regulations.
- Regulatory Compliance:
- Ensure the company's compliance with all applicable laws and regulations in the jurisdictions where we operate, including data protection, environmental regulations, and industry-specific standards.
- Advise on legal risks and regulatory requirements related to data center operations, including cross-border data transfer, cybersecurity, and energy usage.
- Corporate Governance:
- Assist in corporate governance matters, including the preparation of board resolutions, corporate filings, and maintaining corporate records.
- Support the company in maintaining high standards of corporate governance, ensuring compliance with internal policies and external regulations.
- Dispute Resolution:
- Manage and resolve legal disputes, including handling litigation, arbitration, and other forms of dispute resolution.
- Collaborate with external legal counsel when necessary to protect the companys interests.
- Mergers & Acquisitions:
- Provide legal support for mergers, acquisitions, and joint ventures, including conducting due diligence and managing legal aspects of transaction agreements.
- Advise on the integration of acquired entities from a legal perspective.
- Real Estate & Construction:
- Oversee legal matters related to the acquisition, development, and management of data center properties.
- Ensure compliance with zoning, land use, and construction laws, and manage relationships with contractors and developers.
- Risk Management:
- Identify potential legal risks and develop strategies to mitigate them.
- Provide training to internal teams on legal and regulatory issues relevant to the data center industry.
- Data Privacy & Security:
- Advise on data privacy and cybersecurity matters, ensuring compliance with global data protection laws, such as GDPR.
- Support the development of internal policies related to data handling, storage, and security.
Qualifications:
- Bachelors degree in Law (LL.B) from a recognized university; Masters degree (LL.M) is a plus.
- Licensed to practice law in [Insert Jurisdiction].
- 8+ years of experience in a legal role ( combine In-house & Law firm experience ), with a focus on corporate, commercial, and regulatory matters. Experience in the data center, technology, or real estate sectors is highly desirable.
- Strong knowledge of contract law, corporate governance, data protection regulations, and compliance.
- Excellent negotiation, communication, and interpersonal skills.
- Ability to manage multiple priorities in a fast-paced, dynamic environment.
- Strong analytical skills with attention to detail and the ability to think strategically.
- Experience with cross-border legal issues and managing external legal counsel is an advantage.
