A. PROFILE

Role Title: Legal Counsel (Contracts)
Reporting to: Chief Legal Officer

B. CONTEXT

Purpose: To manage and oversee end-to-end contract lifecycle activities, ensuring all agreements are robust, risk-assessed, and aligned with company standards and business objectives.
ContextLegal Department is responsible for providing legal guidance, support & counselling on all legal and compliance matters to a range of internal customers across the organization to address all legal risks and safeguard the organization's interest in contractual dealings with external parties. It is also responsible for effective management of the organization's relationship with the regulators, government ministries, senior government officials and ensuring legal compliance.

Leads contract lifecycle management across the organization, ensuring standardization, risk control, and efficient execution while working closely with Commercial Legal to align contracts with business needs.

C. ROLE ACCOUNTABILITIES

Contract Drafting & Structuring

  • Draft, review, and standardize various types of contracts, including:
  • Vendor/supplier agreements
  • Partnership agreements
  • Service agreements
  • NDAs, MOUs, SLAs

    Contract Negotiation

    • Lead and support contract negotiations with external parties.
    • Protect company interests while ensuring commercial feasibility and relationship balance.
    • Provide negotiation strategies and fallback positions.

    Contract Risk Assessment

    • Conduct detailed risk assessments for contracts prior to execution.
    • Highlight key legal, financial, and operational risks to management.
    • Prepare risk summaries for CXO approvals.

    Contract Lifecycle Management (CLM)

    • Manage full contract lifecycle:
    • Drafting Review Negotiation Execution Amendment Renewal/Termination
    • Monitor key contract obligations, deliverables, and timelines.

    Template & Governance Management

    • Maintain and update standard contract templates (precedents).
    • Identify gaps and propose improvements to templates and clauses.
    • Ensure consistency in contract terms and legal standards across the organization.

    Post-Execution Support

    • Provide legal interpretation of executed contracts.
    • Advise stakeholders on contractual rights, obligations, and dispute risks.
    • Support handling of contractual disputes and claims.

    Stakeholder Management

    • Work closely with business teams to ensure efficient contract turnaround time.
    • Coordinate with Commercial Legal Counsel on non-standard/high-risk contracts.
    • Liaise with procurement, finance, and project teams for alignment.

    D. KEY PERFORMANCE INDICATORS

    • Deliver high-quality contracts with minimal post-signing issues or disputes.
    • Ensure contract drafting and review are completed within agreed turnaround timelines.
    • Conduct and communicate clear contract risk assessments for informed decision-making.
    • Maintain standardized contract templates and ensure adherence to contract governance processes.
    • Achieve high stakeholder satisfaction through effective contract support and collaboration.

    E. WORKING RELATIONSHIPS & DECISION MAKING

    Interacts with:
    Internal: CEO, CXOs and All departments at all levels, for the purpose of taking instructions and giving advice on operational contracts
    External: Vendors and customers at all levels, for the purpose of negotiating operational contracts.

    Decision Making 
    Legal Counsel will make independent decisions on amendments to the U9 precedent contracts as required to meet business needs without exposing U9 to significant legal risks. If business requirements require changes to standard contracts that involve a high degree of legal risks, those changes should be discussed and agreed with the Chief Legal Officer.

    All legal contract advice with a potentially significant business impact should be prepared in conjunction with the Chief Legal Officer.

    F. EXPERIENCE AND QUALIFICATIONS

    Minimum Experience & Essential Knowledge

    • Minimum 8–12 years of legal experience, with strong focus on contract drafting and negotiation.
    • Proven experience managing end-to-end contract lifecycle (CLM).
    • Experience in high-volume contract environments (e.g., telecom, FMCG, multinational companies preferred).
    • Ability to conduct analytical research and prepare conclusions and recommendations report.
    • Strong track record in leading contract negotiations and managing contractual risks.
    • Experience in developing and maintaining contract templates and governance frameworks.

    Minimum Entry Qualifications

    • Bachelor's degree in Law (LL.B) is required; Master of Laws (LL.M) or equivalent is preferred.
    • Licensed to practice law (preferred)
    • Strong command of legal drafting and business English
