A. PROFILE
Role Title: Legal Director

B. CONTEXT
Purpose: Providing Legal support to the business on general operational and key strategic matters.
Context: Legal Department is responsible for providing legal guidance, support & counselling on all legal and compliance matters to a range of internal customers across the organization to address all legal risks and safeguard the organizations interest in contractual dealings with external parties. It is also responsible for effective management of the organizations relationship with the regulators, government ministries, senior government officials and ensuring legal compliance. This role is to support on Legal matters to the business to address all Legal risks.
This position is only open for Myanmar Nationals.
C. ROLE ACCOUNTABILITIES
- Take instructions from business when an operational or key strategic contracts is required, prepare contracts based on U9 precedent contracts as appropriate and negotiate those contracts as required in order to achieve business objectives.
- Prepare risks assessments of contracts in preparation of contract execution. These risk assessments should be sufficiently detailed to ensure that the CXOs approving particular contracts are aware of all major risks involved in the execution of the contract and can make an informed business decision whether to proceed with execution.
- Provide legal advice on the interpretation of executed contracts as issues arise and other key strategic issues affecting the company. This advice should be clearly and simply expressed in order to ensure that the business owner is aware of U9s legal rights and obligations.
- Identify where changes are required to U9 precedent contracts and prepare appropriate amendments to those precedent contracts for approval by Chief Legal Officer. This is to ensure that U9s standard precedent documents are up to date and continue to meet U9s legal needs.
- Monitor and supervise performance of Senior Legal Manager and Legal Manager to ensure consistent high quality in the legal support provided to the business.
- Assist U9 in ensuring that the overall conditions in Myanmar are as transparent as possible and conducive to fair competitive operating environments; contribute to this effort through the communication and sharing of international best practices with the PTD (and its successor(s) and related government ministries.
- Provide support to and participate in the preparation of responses to public consultations, investigations, audits and other queries issued by the PTD and related government agencies.
- Engage with relevant stakeholders in industry and government to gain support for U9 positions and further overall goals by influencing PTD and related agencies.
- Provide support to U9 on interconnection, mobile money and other issues as required.
- Work with all U9 departments to ensure that all sales and marketing activities as well as other actions that may be undertaken by the company are in compliance with the telecom law, licence and the framework.
D. KEY PERFORMANCE INDICATORS
- Legal Director should be able to handle all legal matters independently and in a timely manner with minimal supervision, including drafting of key strategic contracts and preparation of non-standard legal terms tailored to particular transactions.
- Legal Directors risk assessments for CXO approvals should be accurate and complete with sufficient detail to allow the CXOs to make an informed decision on whether to give approval to the relevant contracts
- Legal Director should pro-actively investigate opportunities to improve U9s standard contract precedents based on their operational experience in dealing with those contracts.
- Legal Directors legal advice should be commercially focused, taking into account potential impacts of the business.
E. WORKING RELATIONSHIPS & DECISION MAKING
Interacts with:
Internal: President, CEO, CXOs and All departments at all levels, for the purpose of taking instructions and giving advice on operational contracts
External: Vendors and customers at all levels, for the purpose of negotiating operational contracts.
Decision Making
Legal Director will make independent decisions on amendments to the U9 precedent contracts as required to meet business needs without exposing U9 to significant legal risks. If business requirements require changes to standard contracts that involve a high degree of legal risks, those changes should be discussed and agreed with the Chief Legal and Officer.
All legal advice with a potentially significant business impact should be prepared in conjunction with the Chief Legal Officer.
F. EXPERIENCE AND QUALIFICATIONS
Minimum Experience & Essential Knowledge
- 10–15+ years of legal experience, with at least 5 years in a senior legal leadership role within the telecommunications or technology sector.
- Ability to conduct analytical research and prepare conclusions and recommendations report.
- Contract management
- Telecommunications experience
Minimum Entry Qualifications
- Bachelors degree in Law (LL.B) is required; Master of Laws (LL.M) or equivalent is preferred.
