Summary:
This company is seeking a results-driven Legal and Compliance Manager to lead legal, regulatory, and compliance functions for our Cambodia operations. This role sits at the center of keeping our Payment Services license in good standing while enabling business growth. The successful candidate is a proactive self-starter who takes ownership, anticipates issues before they escalate, and communicates clearly and confidently with regulators, senior management, and cross-functional teams alike. You will serve as the primary liaison with the National Bank of Cambodia (NBC) and the Anti-Money Laundering and Combating the Financing of Terrorism Unit (AMLO) and will combine hands-on legal drafting capability with robust compliance programmed management.
Key Responsibilities:
Legal Advisory, Contract Management & Corporate Secretarial
- Provide legal advice and guidance on corporate, commercial, and operational matters.
- Draft, review, negotiate, and manage a full range of commercial agreements, including merchant agreements, partnership contracts, agency agreements, intercompany agreements, and service-level agreements; maintain the contract register and ensure timely renewal tracking. Ensure compliance with applicable laws, regulations, and company policies.
- Coordinate with external legal counsel on legal disputes, litigation, and regulatory matters.
- Handle all corporate secretarial functions for the Cambodia entity, including preparation of board resolutions, shareholders' resolutions, meeting minutes, and statutory filings with the Ministry of Commerce.
Regulatory Compliance- NBC and Payment Licensing
- Act as primary point of contact with the National Bank of Cambodia (NBC) for all matters relating to EPS's payment gateway, e-money, remittance, and payment-on-behalf licenses; ensure full compliance with NBC Prakas, circulars, and regulatory directives.
- Monitor regulatory developments and assess business impact.
- Develop, implement, and maintain compliance policies, procedures, and internal controls.
- Prepare and submit regulatory reports, filings, and licensing requirements. Support regulatory inspections, audits, and examinations.
AML/CFT, AMLO Liaison & Risk Management
- Serve as designated compliance officer responsible for AML/CFT compliance; maintain the primary
relationship with AMLO, including submission of Suspicious Transaction Reports (STRs), Currency Transaction Reports (CTRs), KYC/CDD and all other mandatory regulatory reports - Conduct compliance reviews and risk assessments.
- Investigate compliance issues and recommend corrective actions.
- Ensure effective compliance monitoring and risk mitigation practices.
Business & Stakeholder Support
- Partner with Product, Operations, Technology, Finance, and Business Development teams to ensure compliance in business activities and new product initiatives.
- Provide compliance guidance for merchant onboarding, partnerships, and payment solutions.
- Support business expansion projects, licensing applications, and regulatory approvals.
- Build and maintain proactive relationships with NBC, AMLO, banking partners, and external stakeholders; communicate regulatory updates and their business impact to senior management promptly and clearly.
Compliance Training & Awareness
- Conduct compliance training and awareness programs for employees. Promote a culture of ethics, governance, and regulatory compliance across the organization.
Qualifications:
- Bachelor's degree in law, Legal Studies, Business Law, or related fields.
- Qualified Lawyer or Legal Certification is preferred.
- Minimum 5 years of total professional working experience in Legal, Compliance, Regulatory Affairs, or Risk Management roles.
- Minimum 2 years of direct experience in the payment, fintech, e-money, remittance, or financial services industry. This is a mandatory requirement; candidates without payment/fintech sector experience will not be considered.
- Strong knowledge of Cambodian laws, financial regulations, AML/CFT, KYC, and compliance frameworks.
- Demonstrated hands-on experience engaging directly with the National Bank of Cambodia (NBC) and/or AMLO, including regulatory submissions, examination management, and ongoing liaison; experience with company secretarial functions under Cambodian company law is required.
- Strong contract drafting, negotiation, and legal advisory skills.
- Excellent analytical, problem-solving, and stakeholder management skills.
- Fluency in English and Khmer (written and spoken) with the ability to communicate complex regulatory matters clearly to non-legal audiences, including executives and regulators; Thai language proficiency is an advantage.
- Proactive, self-driven professional with an ownership mindset who can independently manage a full legal and compliance portfolio in a fast-paced, multi-jurisdictional environment without requiring close supervision; capable of handling both legal advisory and compliance programmed management simultaneously.
Key Performance Indicators (KPIs)
Regulatory Compliance & NBC Licensing
- Zero major violations, penalties, or license conditions imposed.
100% on-time submission of regulatory reports, filings, and ad hoc regulatory filings.
AML/KYC & Risk Management Effectiveness
- 100% on-time submission of STRs, CTRs, and AMLO reports.
- Zero critical findings on AML/CFT controls in regulatory examinations or internal audits.
- Annual AML/CFT risk assessment completed.
Contract & Legal Advisory Turnaround - All standard commercial agreements drafted, reviewed and returned within agreed SLA (suggested:
- 3-5 business days).
- Contract register maintained with no agreements expiring without prior management notification.
Regulator Relationship Quality - No unresolved escalated issues with NBC or AMLO.
- Satisfactory outcome on all regulatory examinations and on-site inspections.
Corporate Secretarial Compliance - All board/shareholder resolutions, meeting minutes, and statutory filings completed accurately andon time.
- Corporate records maintained in good standing with MoC.
