About the Role:

We are seeking an experienced Senior Corporate Attorney to join a growing Corporate and Business Transactions practice in New York City. This role is ideal for a seasoned attorney with extensive experience advising middle-market businesses, entrepreneurs, and privately held companies on sophisticated corporate transactions. The successful candidate will independently lead complex matters from inception through closing while serving as a trusted legal and strategic advisor to clients. This position offers the opportunity to work on high-value mergers and acquisitions, corporate governance, business formations, restructurings, commercial contracts, and other strategic transactions in a collaborative and client-focused environment.

Responsibilities:

  • Lead and manage complex corporate transactions from initial structuring through negotiation, execution, and closing.
  • Draft, review, and negotiate a broad range of transactional documents, including purchase agreements, asset and stock purchase agreements, shareholder agreements, operating agreements, buy-sell agreements, and commercial contracts.
  • Advise clients on mergers and acquisitions, corporate reorganizations, joint ventures, business formations, and corporate restructurings.
  • Provide strategic legal counsel to middle-market companies, business owners, investors, and entrepreneurs on corporate governance and business operations.
  • Conduct legal due diligence and identify legal, financial, and operational risks associated with corporate transactions.
  • Structure transactions to minimize risk while supporting clients' business objectives.
  • Manage transaction timelines, coordinate with internal and external stakeholders, and oversee all aspects of deal execution.
  • Negotiate directly with opposing counsel, financial advisors, and business executives to facilitate successful transactions.
  • Review and prepare corporate governance documents, including board resolutions, corporate records, and organizational documents.
  • Mentor junior attorneys and collaborate across practice groups to provide comprehensive legal services.
  • Develop and maintain strong client relationships through responsive service and trusted legal counsel.
  • Stay current on developments in corporate law, mergers and acquisitions, and business regulations impacting clients.

Qualifications:

  • Juris Doctor (J.D.) from an accredited law school.
  • Active admission and good standing with the New York State Bar.
  • Minimum of 8 to 10 years of experience practicing corporate and transactional law.
  • Demonstrated experience managing sophisticated corporate transactions independently from inception through closing.
  • Extensive experience representing middle-market businesses, privately held companies, and business owners.
  • Strong experience with mergers and acquisitions, corporate governance, commercial contracts, business formations, and corporate restructurings.
  • Exceptional drafting, negotiation, analytical, and problem-solving skills.
  • Proven ability to manage multiple complex transactions simultaneously while meeting deadlines.
  • Excellent interpersonal, client relationship management, and business communication skills.
  • Ability to work independently while contributing effectively within a collaborative legal team.

Desired Qualifications:

  • Experience representing entrepreneurs, closely held businesses, family-owned companies, and private equity-backed organizations.
  • Background advising clients on strategic business planning, succession planning, and corporate governance matters.
  • Experience with cross-border transactions, financing transactions, or private securities offerings.
  • Existing business development experience or an established professional network within the New York business community.
  • Strong leadership skills with experience mentoring junior attorneys and legal staff.
  • Demonstrated ability to build long-term client relationships through trusted legal counsel and exceptional client service.
