Corporate Attorney (Middle Market Transactions)
About the Role:
The Corporate Attorney will play a key role in representing clients in a broad range of middle market corporate and transactional matters. This role focuses on handling business acquisitions, sales, joint ventures, financings, and general corporate governance for privately held and emerging companies. The ideal candidate has strong deal execution experience and the ability to manage transactions from initial negotiation through closing, while providing practical, business-oriented legal counsel. This position may be considered at the Associate, Counsel, or Senior Counsel level depending on experience.
Responsibilities:

Manage and execute middle market mergers, acquisitions, and business sales.

Advise clients on entity formation, corporate structuring, and governance issues.

Draft and negotiate purchase agreements, shareholder agreements, and operating agreements.

Represent buyers, sellers, and investors in private company transactions.

Handle joint ventures, recapitalizations, and private equity investments.

Provide general corporate counsel to privately held businesses on day-to-day legal matters.

Coordinate due diligence, disclosure schedules, and closing documentation.

Collaborate with tax, real estate, and employment counsel to ensure comprehensive transaction support.
Qualifications:

Juris Doctor (JD) degree from an accredited law school.

Admission to practice law in New York State.

8 or more years of experience in corporate transactional practice, preferably in middle market M&A.

Demonstrated ability to manage deals independently from term sheet to closing.

Strong drafting, negotiation, and organizational skills.

Proven experience advising private company clients across diverse industries.
Desired Qualifications:

12 or more years of corporate and transactional experience for Counsel or Senior Counsel consideration.

Background working with closely held businesses, family offices, or private equity groups.

Experience structuring complex business transactions and advising on post-closing integration.

Ability to provide practical, solution-oriented advice in fast-paced environments.

Strong client relationship management and business development skills.
