Role Overview

The Head of Legal will lead all legal, compliance, governance, and contractual matters for our client, a Large Multinational Mining Group. The role is accountable for managing legal risk across operations, transactions, litigation, and regulatory interfaces, ensuring full alignment with Indonesian law and our Client's governance and control framework. This position will also discharge Company Secretary responsibilities.

Key Responsibilities

Legal Advisory & Strategy

  • Act as the principal legal advisor to the CEO and senior leadership on legal, regulatory, compliance, and governance matters.
  • Provide strategic legal inputs on business decisions, investments, transactions, and risk exposures, while anticipating legal and regulatory risks and proactively recommend mitigation strategies.

Contracts & Transaction Management

  • Draft, review, negotiate, and finalize contracts related to mining operations, logistics, offtake agreements, EPCs, joint ventures, and vendor engagements, ensuring consistency of contracts with statutory requirements and our Client's governance standards.
  • Lead legal support for transactions, project development, and commercial arrangements, ensuring robust risk allocation and protection of our Client's interests.

Litigation & Dispute Resolution

  • Own and manage all litigation, arbitration, and dispute resolution matters, including strategy, oversight, and outcome management.
  • Liaise closely with external counsel and law firms to ensure effective representation and cost-efficient resolution.

Regulatory Compliance

  • Ensure end-to-end compliance with Indonesian mining, environmental, labor, corporate, and commercial laws.
  • Oversee implementation and monitoring of internal policies and controls to meet statutory and regulatory obligations.

Government & External Liaison

  • Act as the primary interface with government authorities, regulators, and external legal advisors on licensing, compliance, and legal matters and represent our Client in discussions, hearings, and engagements with external stakeholders.

Governance & Company Secretarial

  • Discharge Company Secretary responsibilities, including:
    • Board and committee documentation
    • Statutory filings and disclosures
    • Maintenance of statutory registers and records
  • Support corporate governance initiatives in line with Our Client's standards and Indonesian corporate law.

Risk Management & Process Development

  • Develop and strengthen internal legal processes, risk management frameworks, and compliance mechanisms.
  • Drive legal awareness, compliance culture, and governance discipline across the organization.

Candidate Profile

  • Minimum 15 years of post-qualification legal experience.
  • Mandatory litigation experience, gained at a prominent / reputed law firm.
  • Balanced exposure to both litigation and transactional work (litigation + contracts / transactions).
  • Candidates with combined Law Firm + Corporate in-house experience will be considered a strong advantage.
  • Strong experience in corporate, mining, infrastructure, or project-driven environments with exposure to Indonesian regulations.
  • Demonstrated expertise in contracts, dispute management, regulatory affairs, and governance.
  • Excellent drafting, negotiation, stakeholder management, and advisory capabilities.

Education: Bachelors degree in law (LLB) from a recognized university; an LLM or MBA in Corporate or Business Law is preferred but not mandatory
