The Commercial Counsel is responsible for providing strategic legal counsel and guidance to the organization and will have a special focus on commercial transactions and drafting and negotiating agreements. Reporting directly to the Global General Counsel, the Commercial Counsel will collaborate with various stakeholders across the company to ensure legal compliance, help mitigate risk, and optimize support for customer and supplier contracts and NDAs and other agreements in support of commercial operations in the Americas, Europe, Asia, and Australia. The role will be exposed to various legal matters for the company and will be required to provide general support to the legal department as requested by Global General Counsel.
Key Accountabilities and Responsibilities:
- Commercial Legal Strategy: Implement the company's commercial legal strategy in alignment with overall business objectives. Provide innovative solutions and proactive legal advice to support business growth while managing associated legal risks.
- Contract Review and Negotiation: Lead the review, negotiation, and drafting of a wide range of commercial agreements, including but not limited to, sales, distribution, supply, and support contracts.
- Ongoing Management and Development of Contract Lifecycle Management System across the organization
- Compliance and Risk Management: Ensure the organization's compliance with relevant laws, regulations, and industry standards. Identify potential legal risks and develop strategies to mitigate them effectively.
- Business Partner Collaboration: Collaborate closely with various internal stakeholders, such as sales, marketing, finance, and operations teams, to provide legal guidance and ensure legal support is integrated into business decisions and initiatives.
- External Relations: Represent the company in negotiations with external parties, including customers, distributors, and suppliers.
Candidate Profile (Education/Competencies Required/Functional Skills/Technical Skills):
- Degree from an accredited law school and active membership in a relevant Bar. SC bar license preferred or ability to waive in as in-house counsel.
- 4-5+ years of experience as a practicing attorney, with a focus on commercial law and contract negotiation. At least 2 years in-house experience.
- Experience in supporting sales and technical organizations as an internal client
- Experience using a CLM System to manage contract review process, IronClad a plus
- High degree of independence, initiative and decisiveness but also desire to be challenged and think outside the box
- Excellent interpersonal and communication skills and the ability to act as Business Partner to operations and senior management
- Great business judgment especially in ambiguous situations
- Ability to prioritize in a fast-moving environment
- Organization ability to handle multiple projects in a fast-paced environment and bringing those projects to completion on a timely basis.
- Problem Solver ability to identify and analyze issues, propose and roll out relevant solutions
- Practical business judgment and expertise and efficiency to close the deal
