Primary Objective:

YUZU is actively seeking a Company Secretary in Malaysia who is readily available to undertake upcoming client assignments. In this role, you will support our international banking clients, playing a crucial part in our banking and finance legal operations.

Key Responsibilities:

  • Draft and review corporate secretarial and governance documents, including but not limited to articles of incorporation, memorandums of association, bylaws, shareholder agreements, resolutions and meeting minutes.
  • Manage and maintain accurate corporate records and registers of domestic and overseas company entities, ensuring compliance with all regulatory requirements.
  • Assist in the preparation and filing of various corporate governance documents, including annual reports, proxies, and other required filings.
  • Stay updated on corporate governance regulations and best practices, providing guidance to clients and the team.
  • Handle administrative tasks related to corporate secretarial duties, including recordkeeping, document retrieval, and communication with regulatory authorities.
  • Provide support in drafting legal documents, contracts, and agreements related to corporate governance.

Qualifications:

  • Bachelor's degree in Legal Studies, Business Administration, or similar discipline.
  • Between 3-6 years practical experience in company secretarial duties with a major financial institution or international professional services or law firm.
  • Strong understanding of corporate governance regulations and best practices.
  • Excellent organisational skills and attention to detail.
  • Proficiency in managing corporate records and documentation.
  • Effective communication and interpersonal skills to work with clients and team members
