Our client, a leading Hong Kong Entertainment conglomerate with diverse industry interests, is looking for a Named Company Secretary to oversee the Company Secretarial Department, ensuring adherence to regulatory requirements and providing senior management with guidance on governance and legal matters.

Duties & Responsibilities

  • Regulatory Compliance: Ensures adherence to company standards and industry regulations while maintaining company policies
  • Department Leadership: Manages the Company Secretarial Department, guiding team members and overseeing operations across Hong Kong and offshore subsidiaries
  • Governance & Advisory: Provides strategic advice to the board and senior management on compliance, corporate governance, and regulatory matters
  • Corporate Oversight: Handles secretarial duties for global subsidiaries, ensuring compliance with Hong Kong listing rules, SFO, and disclosure requirements
  • Reporting & Meetings: Prepares reports, announcements, and coordinates board, committee, and shareholder meetings
  • Transactional Support: Assists with M&A, corporate finance, acquisitions, and other strategic projects

Successful Applicants

  • Fellow/Associate member of HKCGI/CGI with a university degree
  • 5+ years as a named company secretary in Hong Kong-listed firms, with 7+ years of company secretarial experience, including managerial roles
  • Strong interpersonal, communication and organizational skills with the ability to handle multiple high-level projects
  • Leadership ability to ensure quality work, meet deadlines, and supervise teams effectively
  • Expertise in Listing Rules, Companies Ordinance, Takeover Codes, and Securities & Futures Ordinance with profound knowledge in corporate governance and transactions
  • Detail-oriented, adaptable, and able to work independently
  • Proficient in Microsoft Office (Excel, PowerPoint, Word, Outlook)
  • Fluent in English and Chinese
