The Opportunity

Our client is a major international law firm with a substantial presence across Asia. Its Beijing office is looking to hire a junior US corporate associate to support a broad mix of transactional and advisory matters. The role spans US and Hong Kong capital markets work—including both equity and debt transactions—alongside exposure to M&A, regulatory compliance, and general corporate matters.

You will be working closely with a senior lawyer whose practice spans US securities offerings, cross‑border equity and debt issuances, and listings involving both US and Hong Kong markets. Their work also extends to M&A, private equity, and corporate compliance engagements, creating a diverse and stimulating workload for a junior lawyer. 

Key Responsibilities

Your work will include:

  • Assisting on equity and debt transactions relating to listings in the US and Hong Kong, including IPOs and follow‑on offerings.
  • Supporting cross‑border securities matters involving SEC‑registered offerings and international private placements under Rule 144A and Regulation S. 
  • Contributing to general corporate and commercial matters, including governance, regulatory queries, and routine corporate advisory work.
  • Providing support on M&A and private equity transactions as needed.
  • Drafting, reviewing, and helping negotiate offering materials, agreements, and other corporate documents.
  • Working closely with colleagues in other offices on cross‑border matters involving clients across China, Asia‑Pacific, and the US.

Candidate Profile

Preferred:

  • 1–3 years' PQE as a US‑qualified corporate attorney, ideally with involvement in securities‑related or transactional corporate work at an international law firm.

Alternatively:

  • A JD from a reputable US law school, supported by substantive internship experience in US securities or corporate teams at recognised international law firms.
  • Internship work should demonstrate hands‑on involvement in transactions or corporate matters rather than purely observational roles.

General attributes:

  • Interest in developing a well‑rounded long-term corporate and capital markets practice across both US and Hong Kong work from Beijing.
  • Strong drafting, analytical, and organisational skills.
  • A proactive, detail‑oriented approach and the ability to work effectively in a team‑driven, cross‑border environment.
