WHAT

You will work on a broad range of capital markets transactions including global IPOs, Rule 144A and Regulation S offerings, US-registered offerings, and debt offerings by Japanese issuers. You will draft and review offering documents, conduct due diligence, advise on disclosure and regulatory requirements, and work closely with underwriters and issuers on transaction execution. You will also support M&A transactions where they intersect with the capital markets practice. The role involves significant cross-border collaboration with US and other Asia offices, and you will be expected to manage multiple deals simultaneously under tight deadlines.

YOU

The successful candidate must be a US-qualified lawyer with 2 to 3 years of post-qualification experience, ideally with exposure to capital markets and/or international M&A transactions. You must be bilingual in Japanese and English, with native or very high fluency in both languages. You will have excellent drafting and communication skills, a strong academic background, and the ability to thrive in a fast-paced, cross-cultural environment.
