an M&A Finance Analyst to join the Mergers & Acquisitions Advisory Department, which is part of the Finance organization. The M&A Advisory Department provides finance input to transactions throughout the transaction process, including structuring, valuation, due diligence, and support negotiations and documentation, as well as providing objective and independent advice to executive management relating to transactions. 

The M&A Finance Analyst role supports the development and execution of large and complex international transactions by acting as a single point of contact for all finance-related inputs throughout the lifecycle of transactions, often against challenging deadlines. Activities include screening opportunities, structuring and framing, formulating valuation and bid price recommendations, financial due diligence, advising on accounting aspects of transactions, reviewing definitive agreements, purchase price adjustments, integration planning, and post-transaction evaluations. The M&A Finance Analyst will interface with other transaction team members and specialists within Finance such as Project Finance. The M&A Finance Analyst is also required to present an objective and independent assessment of transactions to executive management to support decision-making. The position holder is expected to develop, coach, and mentor staff as a core part of the role. 

Responsibilities:

  • Provides expert and objective advice to executive management to support decision-making in respect to all aspects of transactions.
  • Is a core member of multi-functional transaction execution teams, providing end-to-end finance support to transactions. 
  • Screens and evaluates commercial options and evaluates transaction counterparties and joint-venture partners.
  • Is responsible for the valuation aspects of transactions, ensuring that financial models and outputs are prepared according to the client's standards, that risks are considered, that input assumptions are robust and documented and that deficiencies and risks are considered. 
  • Prepares bid price recommendations for senior management reflecting the competitive landscape. 
  • Manages the financial due diligence process (coordinating the activities of advisors as required), ensuring that due diligence findings are communicated to executive management and factored into valuation and/or definitive agreements. 
  • Advises on the accounting aspects of transactions. 
  • Contributes to definitive transaction agreements and is responsible for purchase price adjustments and post-transaction purchase price allocation. 
  • Is a member of the integration planning team, advising on finance aspects of integration. 
  • Coordinates the inputs of other finance experts to transactions.
  • Develops, coaches and mentors team members on transactions.
  • Contributes to the continuous improvement of processes and methodologies to become a center of excellence in M&A execution for the Company. 
  • Provides ad hoc financial analysis activities including on transfer pricing, impairment reviews, government incentives, and group policy reviews.
  • Manages external Financial Advisors and consultants on transactions. Develops relationships in banks to bring external perspectives on the M&A landscape to the Company.

Must-Haves:

  • Bachelor's degree in Finance, Accounting, Business, Management, or Engineering. Advanced business degree (e.g. MBA) or Accounting qualification such  as CPA, CFA, CMA etc. is preferred
  • 10+ years of relevant experience in conducting financial analysis in M&A transactions, in leading investment banks, accounting firms, or large international corporations. 
  • Experience in large and complex cross-border transactions within the energy, natural resources, or infrastructure sectors. 
  • Expert level knowledge and use of financial analysis tools and methodologies, understanding of financial statements, familiarity with International Financial Reporting Standards (IFRS) and international taxation.
