1. Position Overview
The Corporate / Internal Lawyer is responsible for providing comprehensive legal support across the organization, ensuring compliance with applicable laws and regulations, mitigating legal risks, and safeguarding the company's interests. The role involves reviewing and drafting contracts, advising management on legal matters, supporting corporate governance activities, and coordinating with external legal counsel when required. The ideal candidate will have international legal exposure and strong experience in corporate and commercial law within a fast-paced business environment.
2. Key Responsibilities
- Draft, review, negotiate, and manage a wide range of commercial agreements, contracts, and legal documents.
- Provide legal advice and guidance to management on corporate, commercial, employment, and operational matters.
- Ensure the company's compliance with UAE laws, regulations, and corporate governance requirements.
- Support corporate structuring, company incorporations, amendments, and regulatory filings across multiple jurisdictions when required.
- Review and assess legal risks associated with business activities, projects, and contractual arrangements.
- Coordinate with external legal counsel on litigation, disputes, regulatory matters, and specialized legal issues.
- Develop and maintain legal policies, procedures, and internal compliance frameworks.
- Assist in resolving contractual disputes and legal claims while protecting the company's interests.
- Conduct legal research and monitor legislative and regulatory developments impacting the business.
- Support management in strategic initiatives, transactions, partnerships, and business expansion activities.
- Maintain and organize legal records, contracts, licenses, and corporate documentation.
- Provide legal training and awareness sessions to internal stakeholders when required.
3. Qualifications & Experience
- Bachelor's Degree in Law (LL.B.); Master's Degree (LL.M.) is an advantage.
- 2–3 years of relevant corporate legal experience, preferably with international exposure.
- Experience in corporate, commercial, and contract law.
- Knowledge of UAE legal and regulatory frameworks is required.
- Experience working with multinational companies, international law firms, or cross-border transactions is highly desirable.
- Strong contract drafting, negotiation, and legal advisory skills.
- Excellent analytical, problem-solving, and risk assessment abilities.
- Strong communication and stakeholder management skills.
- Ability to handle confidential and sensitive information with discretion.
- Fluency in English and Arabic is preferred.
