OVERVIEW:

Our client, a prestigious global law firm, seeks a second- to third-year associate to join its nationally recognized corporate and transactional practice in Atlanta. The ideal candidates are hardworking individuals with excellent writing and analytical abilities, sound judgment, strong organizational skills, attention to detail, and experience drafting complex transactional agreements. Candidates should have meaningful exposure to M&A transactions, cross‑border matters, and general corporate work.

This is a unique opportunity to become a key contributor within a nationally recognized team while gaining hands-on experience across a wide range of buy‑ and sell‑side M&A deals, corporate governance matters, and other business transactions.

RESPONSIBILITIES:

  • Support M&A, private equity, and joint venture transactions, managing deal timelines and closing logistics.
  • Draft and negotiate key documents, including definitive acquisition agreements, stock/asset purchase agreements, and NDAs.
  • Coordinate and lead comprehensive legal due diligence, identifying risks, liabilities, and, with specialists, advising on tax, IP, and antitrust issues.
  • Provide actionable legal counsel on deal structuring, corporate governance, and regulatory compliance.
  • Work with cross-functional teams (tax, finance, employment) to ensure seamless, client-focused transaction execution.

QUALIFICATIONS:

  • AM Law 100 to 200 firm Experience
  • JD (Juris Doctor) Degree from ABA Accredited Law School with strong academic credentials.
  • Active Georgia Bar Membership in Good Standing.
  • Must Have 3–5 years of experience in M&A Buy & Sell side, SEC filings, Cross‑border Matters, and General Corporate work.
  • Exceptional drafting, negotiation, and communication skills, with the ability to manage complex, fast-paced transactions.
