We are looking for a Deputy Head of Legal to lead and oversee complex M&A, investment, capital markets and financing transactions across CIS and international jurisdictions. The role involves managing high-level legal structuring, transaction execution, cross-border regulatory matters, negotiations and strategic legal support for international investment activities. 

Key Responsibilities
  • Provide full legal support for complex M&A, investment, capital markets and financing transactions
  • Lead transaction workstreams, including structuring, due diligence, drafting, negotiation and execution of legal documents
  • Advise on cross-border legal structures involving Kazakhstan, CIS and international jurisdictions
  • Work with Kazakhstan law, AIFC regulations, and English law
  • Assess and manage legal risks in complex transactions and propose practical risk mitigation solutions
  • Support the Head of Legal on strategic legal matters and act as a senior point of contact within the legal team
  • Participate in complex negotiations with counterparties, advisors and senior stakeholders
  • Communicate directly with beneficiaries, shareholders and investment teams
Key Requirements
  • 8–10+ years of relevant legal experience in M&A, investments, capital markets or financing transactions
  • Strong background in top-tier legal consulting, investment funds, investment banks, large holdings or major corporations
  • Proven experience independently leading complex transactions from structuring to execution
  • Strong knowledge of English law is required
  • Knowledge of Kazakhstan law, AIFC regulations is a strong advantage
  • Experience with cross-border transactions involving CIS and international jurisdictions
  • Strong negotiation, drafting, analytical and project management skills
  • Experience managing external advisors and mentoring junior lawyers
  • Ability to work under pressure and handle complex stakeholder communication
  • Fluency in Russian and English is required
  • Relocation to Astana and office-based work are required
