Corporate Attorney Healthcare M&A (Physician Groups) | Remote
Job Description:
A growing national law firm is seeking a highly skilled and business-oriented Corporate Attorney with a strong background in Healthcare Mergers & Acquisitions (M&A), particularly in transactions involving physician groups and other healthcare providers. This is a fully remote position, offering flexibility and autonomy while working with a collaborative team that values legal excellence and innovative client service.
Key Responsibilities

Lead and support M&A transactions involving physician groups, medical practices, and other healthcare entities, from initial structuring through post-closing integration.

Advise clients on corporate structuring, regulatory compliance (including Stark Law, Anti-Kickback Statute, and HIPAA), and operational issues related to acquisitions.

Draft, review, and negotiate complex transactional documents such as purchase agreements, employment agreements, operating agreements, and management services agreements (MSAs).

Collaborate with internal and external stakeholders, including healthcare consultants, CPAs, and compliance officers, to ensure comprehensive deal execution.

Conduct and oversee due diligence processes with a focus on healthcare-specific concerns such as licensure, billing practices, and regulatory history.

Monitor changes in healthcare law and policy that may impact clients and proactively advise on legal strategies.
Qualifications

J.D. from an accredited law school and active bar membership in good standing in at least one U.S. jurisdiction.

5+ years of corporate transactional experience, with a strong emphasis on healthcare M&A, specifically involving physician practices and provider groups.

Deep knowledge of healthcare regulatory frameworks affecting M&A, including federal and state laws and regulations.

Proven ability to manage deals independently while also working collaboratively within a team.

Excellent communication, negotiation, and project management skills.
