HBAConnect Referral Program Terms & Conditions

1. Program Overview

The HBAConnect Referral Program (the “Program”) allows eligible users (“Referrers”) to earn rewards by referring new, eligible customers (“Referees”) to HBAConnect products or services, subject to these Terms & Conditions (“Terms”).

2. Definitions

For clarity in these Terms:

2.1 “Referrer” means an eligible HBAConnect user who shares a referral link or code.

2.2 “Referee” means a new user or candidate who signs up via a Referrer’s link or code.

2.3 “Qualifying Referral” means a referral that meets all requirements in Section 5, including successful direct-hire placement and completion of the 30-day guarantee/rebate period without refund, chargeback, or fee adjustment.

2.4 “Offer Details” means any program-specific parameters communicated in-app, by email, or on the HBAConnect website that supplement these Terms (e.g., reward amount, timelines, active campaign details).

3. Eligibility

3.1 Referrers must be at least 18 years old and have an active HBAConnect account in good standing.

3.2 Referees must be new to HBAConnect (no prior account, subscription, or purchase) and meet HBAConnect’s onboarding and eligibility requirements.

3.3 Employees, contractors, and partners of HBAConnect may be excluded or subject to separate rules.

3.4 The Program is void where prohibited by law.

4. How It Works

4.1 Referrers share a unique referral link or code provided by HBAConnect.

4.2 A referral is attributed when a Referee signs up through the Referrer’s link or applies the Referrer’s code at sign-up and completes all qualifying actions.

4.3 Qualifying actions, timelines, and reward amounts will be stated in these Terms and/or the Offer Details presented at the time of referral.

4.4 Self-referrals are prohibited. A referral must be a bona fide new user.

5. Qualifying Action

5.1 Unless otherwise specified in the Offer Details, a referral qualifies when the Referee: creates a new HBAConnect account using the referral link/code; is successfully placed by HBAConnect into a direct-hire role with a client/employer; the client/employer pays HBAConnect’s direct hire fee in full; and the 30-day guarantee/rebate period in Section 5.4 has elapsed without a refund, chargeback, or replacement triggering a fee adjustment.

5.2 The qualifying action must occur within 180 days of the Referee’s first sign-up using the referral link/code, unless otherwise stated.

5.3 HBAConnect may impose additional verification checks and reserves the right to disqualify any referral that does not meet all requirements.

5.4 Guarantee/Rebate Period: HBAConnect’s direct-hire placements are subject to a 30-day guarantee/rebate period from the Referee’s start date. If the placement is terminated or a replacement is requested within this 30-day period and results in a refund, rebate, fee credit, or fee reduction, HBAConnect may delay, reduce, rescind, or claw back the associated referral reward accordingly.

6. Rewards

6.1 Referrer Reward: For each verified Qualifying Referral, HBAConnect will pay the Referrer a monetary reward not to exceed $500 USD. The precise amount may be specified in Offer Details and may vary by role, geography, or campaign, but in no event will exceed $500.

6.2 Payment Timing: Rewards will be payable within three (3) days of HBAConnect’s receipt of the direct hire fee from the client/employer for the placement attributable to the referral, provided all conditions in Section 5 are satisfied, including the 30-day guarantee/rebate period in Section 5.4.

6.3 Form of Payment: Rewards will be paid via the payment method on file or a method reasonably designated by HBAConnect. Referrers must provide accurate and complete payment details and any required tax documentation.

6.4 Non-Transferability: Rewards are non-transferable, non-exchangeable, and not redeemable for cash alternatives beyond the amounts stated herein.

6.5 Limits: Each Referrer may earn rewards for at least five (5) and up to a maximum of ten (10) Qualifying Referrals per calendar year, at HBAConnect’s discretion based on program needs and the quality and performance of the Referrer’s prior referrals. HBAConnect may approve additional referrals within the 5–10 range or cap a Referrer’s participation within that range upon notice.

6.6 Substitutions and Adjustments: HBAConnect may substitute a reward with an item or payment of equal or greater value and may prorate, rescind, or claw back rewards if a placement is refunded or fees are reversed, including outcomes under the 30-day guarantee/rebate period.

7. Tracking and Attribution

7.1 Referrals are tracked via cookies, link attribution, or code entry. Technical issues, ad blockers, private browsing, or delayed sign-ups may impact tracking.

7.2 In the event of attribution disputes, HBAConnect’s determination will be final.

8. Fraud, Abuse, and Disqualification

8.1 Any attempt to manipulate the Program, including creating fake accounts, public coupon posting, violating third-party platform policies, bulk unsolicited emailing, spamming, or misleading advertising is prohibited.

8.2 HBAConnect may withhold, cancel, or claw back rewards and suspend or terminate participation for suspected fraud, abuse, or violation of these Terms.

9. Taxes

Participants are responsible for any taxes, reporting, or filings arising from rewards. HBAConnect may issue tax forms as required by law and may require tax information prior to reward issuance.

10. Privacy and Communications

10.1 Participation involves processing of personal data in accordance with the HBAConnect Privacy Policy.

10.2 By participating, Referrers and Referees consent to Program-related communications necessary to administer the Program.

11. Modifications and Termination

HBAConnect may modify, suspend, or terminate the Program or these Terms at any time, with or without notice, to the extent permitted by law. Changes apply prospectively. Rewards earned but not yet issued may be honored at HBAConnect’s discretion, subject to these Terms.

12. Liability

12.1 To the maximum extent permitted by law, HBAConnect is not responsible for lost, misdirected, delayed, or incomplete referrals; technical failures; or third-party acts or omissions.

12.2 HBAConnect’s total liability for claims arising out of or related to the Program will not exceed the value of rewards earned by the claimant in the 12 months preceding the claim.

13. No Agency

Participation does not create any partnership, joint venture, employment, or agency relationship between participants and HBAConnect.

14. Governing Law and Mandatory Arbitration

14.1 Governing Law and Venue: These Terms are governed by the laws of the State of California, applicable to agreements made and performed in Northern California, without regard to conflict-of-law principles. The exclusive venue for any court action permitted under Section 14.4 shall be the state or federal courts located in Santa Clara County, California.

14.2 Agreement to Arbitrate: To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Program, whether sounding in contract, tort, statute, or otherwise, shall be resolved exclusively by binding arbitration administered by JAMS in Santa Clara County, California, under its Streamlined Arbitration Rules and Procedures then in effect. One arbitrator shall be appointed.

14.3 Class Action Waiver and Jury Trial Waiver: The arbitration shall be conducted only on an individual basis; class, collective, consolidated, or representative proceedings are not permitted. The parties knowingly and irrevocably waive any right to a jury trial.

14.4 Small Claims Court Carve-Out: Either party may bring an individual action in a small claims court of competent jurisdiction in Santa Clara County, California, instead of arbitration.

14.5 Injunctive Relief: Notwithstanding the foregoing, either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect its confidential information or intellectual property while arbitration is pending.

14.6 Arbitration Fees and Award: The arbitrator may award any relief available in court, subject to these Terms, and may award costs and fees as permitted by law or the JAMS rules. Judgment on the award may be entered in any court of competent jurisdiction.

14.7 Opt-Out: If you do not agree to mandatory arbitration, you may opt out by sending a written notice of opt-out within 30 days of first becoming subject to these Terms to the Contact address in Section 18. If you opt out, Sections 14.2–14.6 will not apply, and disputes will be resolved in the courts specified in Section 14.1.

15. Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

16. Entire Agreement

These Terms together with any applicable Offer Details constitute the entire agreement relating to the Program and supersede all prior understandings related to the Program.

17. Full Referral Terms Location

The full, most current version of these Referral Program Terms & Conditions is available on the HBAConnect website. If there is any conflict between a posted summary and the full terms on the HBAConnect website, the website version controls.
