Location: Remote position for attorneys located within approximately 75–100 miles of Atlanta, Georgia, allowing convenient access for occasional in-person meetings as needed.

Note: Applicants must be licensed to practice law in Georgia and have 7+ years of corporate transactional experience, including substantial hands-on mergers and acquisitions (M&A) work.

Job Description

  • Lead and manage mergers, acquisitions, and other sophisticated corporate transactions from start to finish.
  • Draft, review, and negotiate purchase agreements, operating agreements, commercial contracts, employment agreements, leases, and related transactional documents.
  • Advise clients on corporate governance, business strategy, risk management, and regulatory compliance.
  • Structure complex business transactions and provide practical legal guidance throughout each stage of the deal.
  • Conduct legal research and provide strategic recommendations on corporate and commercial matters.
  • Collaborate directly with clients and serve as a trusted legal advisor throughout ongoing business operations.
  • Support related business and transactional matters for healthcare professionals and privately held companies.

Qualifications

  • Active Georgia Bar license.
  • 7+ years of corporate transactional legal experience.
  • Significant hands-on M&A transaction experience.
  • Strong background drafting and negotiating complex business agreements.
  • Excellent negotiation, analytical, and legal writing skills.
  • Ability to independently manage sophisticated client matters.
  • Healthcare industry experience is a plus but not required.
  • Strong communication and client relationship skills.
