Location

This is a hybrid opportunity based in Chicago, Illinois. Our team is in the office Tuesday through Thursday, providing the collaboration and client connection of an in person practice with additional flexibility during the week.

Note

Candidates must have an active Illinois Bar license, 8+ years of corporate transactional and M&A experience, and a portable book of business of at least $100,000. This is a senior level opportunity for an attorney who can independently lead sophisticated transactions from initial negotiations through closing.

Job Description

  • Lead mergers and acquisitions, business sales, acquisitions, and other corporate transactions from letter of intent through closing.
  • Draft and negotiate purchase agreements, commercial contracts, governance documents, financing documents, and other sophisticated transactional agreements.
  • Advise clients on corporate governance, entity structuring, reorganizations, ownership transitions, succession planning, and financing transactions.
  • Serve as a practical business advisor to founders, entrepreneurs, privately held companies, and family owned businesses.
  • Coordinate opposing counsel, clients, specialists, and internal deal teams to keep transactions moving efficiently.
  • Manage client relationships while identifying opportunities to expand and deepen those relationships.
  • Grow your existing practice through business development, referrals, cross selling, and firm supported marketing initiatives.
  • Mentor junior attorneys and contribute to the continued growth of our corporate transactional practice.

Qualifications

  • J.D. from an accredited law school.
  • Active Illinois Bar admission required.
  • 8+ years of corporate transactional experience, with 10+ years especially well aligned with the seniority of the role.
  • Strong M&A and transactional experience with the ability to independently quarterback deals.
  • Portable book of business of at least $100,000 required.
  • Excellent contract drafting, negotiation, client management, and project management skills.
  • Experience representing closely held businesses, founders, entrepreneurs, or middle market companies preferred.
  • Commercial real estate, private equity, venture capital, or tax experience is a plus.
