Location: This is a full-time, on-site position based in Doylestown, PA (Bucks County). The role is best suited for candidates already living in Bucks County or Montgomery County, PA. Candidates commuting from Center City Philadelphia may find the drive difficult to sustain — we want to set you up for long-term success.

Note: Candidates must hold an active Pennsylvania Bar license and have 4+ years of law firm experience in corporate, transactional, and/or M&A work. In-house-only backgrounds are not a fit for this role. Candidates meeting these requirements are encouraged to apply.

Job description

  • Advise business clients on corporate formation, governance, and restructuring matters
  • Negotiate and draft agreements across a range of commercial transactions — asset and stock purchases, mergers, joint ventures, and strategic partnerships
  • Handle private placement transactions and commercial finance matters
  • Draft, review, and negotiate commercial contracts for a diverse client base
  • Counsel clients on business disputes, risk management, and transactional strategy
  • Support nonprofit clients on governance, compliance, and transactional matters
  • Collaborate with real estate and litigation colleagues on matters with transactional intersections
  • Build direct client relationships and contribute to business development over time

Qualifications

  • Active Pennsylvania Bar license (required)
  • 4 to 7 years of law firm experience in corporate, transactional, and/or M&A work (required)
  • Exposure across multiple areas preferred: M&A, private placements, commercial contracts, commercial finance, business disputes, nonprofits, real estate
  • Law firm background required — in-house-only experience is not a fit for this role
  • Strong drafting, negotiation, and client communication skills
  • Bucks County or Montgomery County residence strongly preferred
