Senior Legal Counsel
About the job Senior Legal Counsel
Job Purpose
Support all aspects of the business by providing timely legal and regulatory advice to protect company and manage legal and regulatory risks.
Key Accountabilities & Activities
1. Legal and Regulatory Compliance:
- Conduct in-depth legal research and analysis on complex issues to support business and legal decision-making.
- Act as a strategic partner to various business departments, offering professional legal
solutions and deep involvement in their operations. - Provide expert legal advice on specific topics, including telecom regulations, competition, corporate affairs, commercial agreements, procurement, and employment law.
- Offer day-to-day guidance to senior executives and other business department members on government contracting issues, resolve existing relationship issues, and handle prelitigation legal disputes and inquiries.
- Stay updated on relevant laws and regulations, provide legal training, and promote
awareness within the business to ensure compliance with laws and company policies,
preventing violations. - Manage communication and represent the company at governmental bodies concerning legal matters.
- Ensure business departments adhere to regulations, consumer protection guidelines, and competition rules and laws.
2. Contract Management and Negotiation
- Collaborate directly with business teams to structure, draft, and negotiate commercial
transactions, reviewing, and drafting a wide range of contracts and subcontracts for both public and private sector customers. - Interface with relevant business units to comprehend transaction strategies and provide
legal assessments of terms and conditions. - Analyze contract terms to identify potential opportunities and risks, highlighting areas of concern.
- Support business units in verifying the fulfillment of contractual obligations by parties
involved. - Participate in contract negotiations, formulation, and implementation, defining
negotiation strategies. - Assess legal risks, offer recommendations, develop key contract formats, establish
contractual structures and regulatory frameworks, and draft and negotiate various
contracts and legal documents for engagements with third parties. - Advise on terminations and address issues arising in business relationships, handling and resolving related claims or proceedings, including pre-litigation disputes and claims.
Qualifications & Requirements
Educational level
- L.L.B (English or French Section) from recognized University.
- Admitted to the Bar Association and currently registered practicing attorney in Egypt.
Experience
- 6-8 years experience either in a recognized law firm or in-house ideally both with extensive exposure to telecommunications and/or IT industry.
The following additional skills are highly desirable:
- Thorough understanding of the telecommunications industry, including
knowledge of relevant laws, regulations, and market dynamics. - Experience in structuring, drafting, and negotiating commercial transactions
and a proven track record of successfully managing various contracts and
subcontracts. - Consumer protection and competition laws experience.
- Exposure to working with Government bodies, particularly regulatory related.
