Our client is seeking a skilled Corporate Lawyer with experience in Mexican corporate law, entity formation, and statutory compliance to join their growing team. You will play a key role in supporting international and cross-border clients establishing and operating legal entities in Mexico, particularly within the Baja California and Tijuana business environment. Your work will directly impact clients’ successful market entry, regulatory compliance, and long-term corporate governance.
Key Responsibilities
- Support the incorporation of Mexican legal entities, including S.A. de C.V. and S. de R.L. de C.V., by preparing and filing incorporation documents and corporate by-laws.
- Coordinate initial tax registrations (RFC) and related registrations with SAT.
- Manage employer registrations with IMSS, including Registro Patronal, Digital Certificate, and IDSE access, as well as INFONAVIT Portal Empresarial for clients establishing local payroll operations.
- Act as, or coordinate the appointment of, local legal representatives for client entities when required.
- Draft, review, and maintain powers of attorney, board resolutions, shareholder resolutions, and other corporate governance documentation.
- Coordinate with Baja California notaries, the Registro Público de la Propiedad y del Comercio, and other local government authorities to facilitate incorporations, registrations, and compliance filings.
- Advise foreign-owned and U.S.-based companies on Mexico–U.S. cross-border corporate matters, entity structuring, and ongoing Mexican legal compliance.
Must-Have Qualifications
- Law degree (Licenciatura en Derecho) from an accredited Mexican university.
- Active license to practice law in Mexico (Cédula Profesional).
- Minimum of 3 years of experience in corporate or commercial law, preferably supporting foreign-owned companies, U.S.-based clients, or international businesses operating in Mexico.
- Strong knowledge of Mexican corporate law, tax registration procedures, and social security and labor registration requirements.
- Experience drafting incorporation documents, powers of attorney, shareholder resolutions, board resolutions, and related corporate legal documentation.
- Familiarity with Baja California corporate and regulatory practices, including experience coordinating with local notaries and government authorities.
- Fluent Spanish and professional-level English with excellent written and verbal communication skills, with the ability to advise international clients on Mexican legal and regulatory requirements.
Preferred Qualifications
- Experience supporting companies with Mexico–U.S. cross-border operations, particularly in Tijuana or Baja California.
- Experience supporting global EOR, PEO, manufacturing, maquiladora, or international business expansion service providers.
- Familiarity with IMMEX, foreign investment structures, and regulatory requirements applicable to foreign-owned businesses.
- Experience managing beneficial ownership filings and AML/KYC corporate compliance requirements.
- Experience coordinating with referral partners, international legal teams, U.S. counsel, and Mexican government authorities.
- Strong understanding of corporate governance best practices for foreign-owned entities.
