We are seeking a skilled Corporate Lawyer & Client Manager with strong expertise in Mexican corporate law, notarial processes, and client delivery. You will play a key role in leading corporate governance matters, coordinating notarial and registry workflows, and managing bilingual client relationships. Your work will directly impact matter completion, compliance accuracy, and overall client satisfaction within the Mexico Hub.

Key Responsibilities

  • Manage full entity lifecycle for Mexican corporations (S. de R.L., S.A.P.I., S.A. de C.V., S.A.S.), including formations, modifications, bylaws, share transactions, and corporate housekeeping.

  • Prepare and coordinate actas, POAs, UBO registers, foreign investment notices, and compliance documentation.

  • Handle notarial execution processes: signing packages, testimonios, legalization/apostille flows, and RPC/Secretaría de Economía filings.

  • Draft and negotiate MSAs, NDAs, SLAs, service/supply agreements, distribution, licensing, and SaaS contracts; align terms with tax/accounting positions.

  • Manage regulatory processes including SAT/RFC/e.firma coordination, AML (LFPIORPI), privacy (LFPDPPP/INAI), labor/contractor compliance, NOMs/consumer matters, and IP filings (IMPI).

  • Lead bilingual client communication, scope/milestone planning, RAID logs, CRM tracking, weekly status updates, and closing documentation.

  • Support cross-border transactions, restructurings, capital raises, and corporate clean-ups, ensuring enforceability of foreign legal artifacts.

Must-Have Qualifications

  • Licenciatura en Derecho with cédula profesional (required).

  • 3 - 6+ years of experience practicing corporate/business law in Mexico, including notarial and RPC filings.

  • Strong drafting and negotiation skills in Spanish and English.

  • Hands-on experience with LFPIORPI, LFPDPPP/INAI, LFT, and IMPI procedures.

  • Ability to manage multi-stakeholder projects, regulatory calendars, and audit-ready documentation.

  • Proven client-facing experience and ability to lead bilingual calls and delivery workflows.

  • Proficiency with Google Workspace, CRM systems, Docusign/Adobe Sign, and government portals (SAT, Secretaría de Economía, RPC).

Preferred Qualifications

  • Experience with fintech, e-commerce, or real estate sectors.

  • Exposure to cross-border structuring involving Delaware, Panama, ADGM, or similar jurisdictions.

  • Familiarity with REPSE, PROFECO, and NOM compliance processes.
