Type of Contract: Independent Contractor | Full-Time

Salary Range: Approximately USD 1,800/month, negotiable based on experience

Our client is seeking a skilled Corporate Lawyer with strong experience in Argentine corporate law, entity formation, and statutory compliance to support their international clients operating or establishing entities in Argentina. You will play a key role in managing incorporations, corporate registrations, ongoing compliance, and client-facing legal coordination. Your work will directly impact clients’ ability to establish and maintain compliant Argentine operations efficiently.

Key Responsibilities

  • Support the incorporation of Argentine legal entities, including S.A., S.R.L., and S.A.S., by drafting estatutos and coordinating registrations with the IGJ or relevant provincial Registro Público de Comercio.
  • Coordinate registration of foreign shareholders and parent companies under Articles 118 and 123 of the Ley General de Sociedades, including branch registrations where applicable.
  • Manage CUIT and related registrations with ARCA and provincial tax authorities, coordinating documentation and follow-up as required.
  • Act as, or coordinate the appointment of, local directors and apoderados for client entities where legally required.
  • Draft and review powers of attorney, board and shareholders’ meeting minutes, corporate resolutions, and other legal documentation.
  • Manage ongoing corporate compliance, including rubricación of corporate books, annual shareholders’ meetings, beneficial ownership and AML-related filings, and financial statement submissions.
  • Liaise directly in English with international clients, referral partners, escribanos públicos, registries, and government authorities regarding entity structuring, compliance timelines, documentation, employment matters, commercial contracts, dormant entities, and wind-down processes.

Must-Have Qualifications

  • Law degree (Título de Abogado) from an accredited Argentine university.
  • Active registration with a Colegio Público de Abogados, such as CPACF or a provincial equivalent.
  • At least 3 years of professional experience in corporate or commercial law.
  • Strong working knowledge of the Ley General de Sociedades, IGJ procedures, and Argentine tax and registry requirements for foreign-owned companies.
  • Demonstrated experience supporting foreign-owned entities and/or international clients.
  • Experience drafting incorporation documents, powers of attorney, corporate resolutions, and meeting minutes.
  • Fluent Spanish and professional-level English, with strong written and verbal communication skills.

Preferred Qualifications

  • Experience supporting global EOR, PEO, or multi-country expansion service providers.
  • Experience maintaining dormant entities and managing voluntary dissolution or wind-down processes.
  • Familiarity with immigration and work permit processes before the Dirección Nacional de Migraciones.
  • Experience coordinating corporate filings across multiple Argentine provincial jurisdictions.
  • Experience working directly with international referral partners and foreign legal or professional services firms.
