About the job Company Secretary

Our client is an Indian multinational company that manufactures, bottles and distributes beverages. They are looking for a Company Secretary for their Dubai office.

Responsibilities:

  • Drafting and circulation of Notice, Agenda, and other supporting papers for convening meetings, including board and shareholders meetings, in compliance with applicable laws and company rules.
  • Preparation and circulation of Minutes of board and general meetings.
  • Drafting of Directors Report, Annual Returns, and supporting papers.
  • Preparation of relevant policies in compliance with applicable laws, including periodic updates.
  • Providing advice to the Board on governance matters and acting in the best interest of the Company.
  • Acting as a liaison between the Board of Directors and Senior Management.
  • Preparation and filing of statutory documents/returns with the Registrar of Companies & other authorities to comply with periodic filing requirements or notify changes regarding the company.
  • Maintenance of statutory books including registers of members, directors, and secretaries.
  • Ensuring compliance with all applicable legislations, laws, and regulations, including Foreign Exchange laws, and keeping board members informed of their responsibilities.
  • Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action.
  • Coordinating with regulators, authorities, banks, lawyers, auditors, and other stakeholders in respective territories.
  • Monitoring, updating, and maintaining all incorporated documents.
  • Performing any other duties as assigned from time to time.

Requirements:

  • Qualified Company Secretary with a minimum of 10-15 years of work experience in handling secretarial compliances independently.
  • Well-versed with the applicable Companies Act and other laws of respective countries.
  • Experience in working with Joint Ventures entities and M&A transactions.
  • Experience in working with listed companies is preferred.
  • Thorough knowledge and experience in FEMA compliances and regulations.
  • Experience in working with multiple overseas entities.
  • Excellent communication skills, both written and verbal.
