The Job:
- Board and Committee Support: Responsible for providing company secretarial support at Board and Board Committee meetings, including formulating agendas, collating papers, uploading on the board portal, drafting accurate minutes, and ensuring timely dissemination of board decisions.
- Compliance Management: Ensure compliance with the applicable laws and regulations, specifically the provisions of the Companies’ Act and the Listing Rules of the Colombo Stock Exchange, while maintaining accurate statutory books and records in accordance with prescribed guidelines.
- Corporate Governance: Ensure compliance with corporate governance practices by continually reviewing developments in corporate governance locally and internationally.
- Director Support: Provide support and guidance to Directors, assisting them in discharging their duties effectively.
- Regulatory Guidance: Advise and assist officers with their statutory and regulatory responsibilities and obligations to ensure proper compliance.
- Legislative Monitoring: Monitor changes in relevant legislation and the regulatory environment, reviewing, analyzing, and preparing reports and recommendations on such changes.
- Stock Exchange Announcements: Prepare and manage timely announcements to the Stock Exchange.
- Ad-hoc Projects: Carry out special projects and corporate actions such as acquisitions, mergers, incorporations, and winding-ups as needed.
- External Liaison: Liaise with external regulators and advisers, including the Stock Exchange, Central Bank of Sri Lanka, Registrar-General of Companies, and others.
The Person:
- Qualifications: Attorney-at-Law or Chartered Secretary; Master of Laws (LLM) or Postgraduate qualification in Corporate Governance, Corporate Law, or an MBA.
- Experience: Minimum of 8 years post-qualification experience in company secretarial work, with in-depth knowledge of the Companies Act and Listing Rules of the Colombo Stock Exchange.
- Skills: Strong command of both written and spoken English, excellent drafting, analytical, and interpretation skills.
- Attributes: Motivated, self-driven, and able to work under pressure, prioritize, and manage time effectively. Confident and authoritative with strong communication, interpersonal, and advisory skills.
- Team Player: Ability to work autonomously and in a team setting, with a strong sense of responsibility and a commitment to quality.
