About the job Legal Manager
1. Key Responsibilities
A. Corporate & Fund Legal
- Lead all legal matters of the firm and Funds, ensuring compliance with applicable laws, LPA, and internal policies.
- Draft, review, and negotiate contracts, NDAs, MOUs, and other legal documents.
- Provide legal advice to management and internal teams on corporate and regulatory matters.
- Conduct legal research, monitor regulatory changes, and assess business impact.
- Maintain and organize legal records, contracts, and compliance documentation.
B. Investment & Transaction Legal (M&A / Deals)
- Participate in M&A, investment, post-investment, and divestment transactions.
- Support deal structuring, drafting, negotiation, and execution of agreements (SSA, SHA, SPA, VHA, etc.).
- Review and advise on amendments to transaction documents post-deal.
- Identify legal risks in transactions and ensure appropriate safeguards.
C. Investee Legal & Governance
- Ensure legal rights and interests of the Funds are fully protected at investee level.
- Monitor investees' compliance with deal agreements and recommend legal actions when necessary.
- Advise deal teams on legal and compliance matters related to investees.
- Support legal aspects of public registration and listing (if applicable).
D. Corporate Governance & Legal Control
- Manage POA, authority matrix, and legal governance frameworks across entities.
- Oversee onboarding/offboarding of fund representatives at investees.
- Manage company seals, legal documentation control, and execution processes.
- Ensure proper implementation of internal legal policies and controls.
E. External Counsel & Legal Risk Management
- Coordinate and manage external legal counsels and advisors.
- Ensure quality, timelines, and cost effectiveness of outsourced legal services.
- Proactively identify, assess, and mitigate legal risks across activities.
F. Intellectual Property
- Manage trademarks and related registrations.
- Ensure proper tracking, protection, and documentation of IP assets.
2. Key Requirements:
- Minimum 7+ years of experience in legal roles at managerial level.
- Strong experience in M&A, investment transactions, and corporate legal advisory.
- Background in Private Equity, investment firms, or top-tier law firms is highly preferred.
- Solid understanding of corporate law, deal structures, and transaction documentation.
- Proven ability to independently handle complex legal matters and negotiations.
- Strong risk management mindset, high integrity, and attention to detail.
- Business-oriented with strong ownership and stakeholder management skills.
- Excellent English communication skills.
