Key Responsibilities

  • Lead the drafting, review, and negotiation of documentation for sophisticated secured lending and commercial loans.

  • Develop and implement restructuring strategies, forbearance agreements, and distressed asset management solutions for clients.

  • Provide robust representation in bankruptcy filings and advocate on behalf of creditors in negotiations and plan confirmations.

  • Conduct critical due diligence and transactional support for corporate acquisitions, real estate deals, and various lending arrangements.

  • Collaborate seamlessly with senior attorneys in a flexible, hybrid work environment.

  • Act as a mentor to junior attorneys, contributing to the firm's knowledge-sharing and development initiatives.

Qualifications

  • Juris Doctor (J.D.) from an accredited law school.

  • Active Admission to the New Jersey Bar is required; New York Bar admission is strongly preferred.

  • Approximately 4+ years of substantive experience in at least two of the following areas: bankruptcy, banking/finance, real estate, or corporate law.

  • Proven expertise in loan documentation, workouts, restructuring agreements, and creditor representation.

  • Excellent contract drafting, document review, and advanced legal research capabilities.

  • Superior organizational, communication, and time-management abilities, essential for handling multiple complex engagements.

  • Proficiency with legal technology tools (e.g., DocuSign, iManage, or equivalent).

Preferred Skills

  • Experience representing lenders or financial institutions in secured financing transactions.

  • Strong understanding of UCC regulations and lender liability considerations.

  • Familiarity with complex bankruptcy proceedings and asset restructurings.

  • Experience with real estate financing, leasing, or acquisition transactions.

  • Knowledge of corporate governance, M&A, and related transactional support.
