- Participate actively in front-line negotiations and interface with customers, business partners, suppliers, contractors, etc.
- Supervise the Legal department and ensure the compliance of all companies’ contracts and agreements, not including, PPA, EPC Contract, leasing agreements, M&A matters, Financing and Re-financing, MOU, SPA, loan agreements, as well as other contracting requirements for day-to-day business.
- Build, enhance, and maintain good relationship with local authorities such as BOI and other key regulators
- Liaise with regulator/relevant authorities to ensure that the Company is up to date and on the front line of the upcoming market regulation and/or guidelines.
- Coordinate with cross-functional teams (Group Commercial, Group Finance, Group Operation, and other Business Units) in identifying, mitigating, and managing risks on activities, businesses, and projects of the Company/Market/Group.
- Review and enhance the Group’s corporate policies to minimize legal and regulatory risks.
- Understand, implement, and monitor compliance with corporate policies and principles of good corporate governance.
- Work with other teams to think out of the box for solutions to business matters that are most practical, applicable, and beneficial for the Company and Customers.
- Evaluate the transactions and agreements to identify legal risks in transactions/agreements and provide advice and recommendations to the management board and other functional teams to enable them to make informed commercial decisions.
- Support the rollout of all Compliance-related policies initiated by the Group Ethics & Compliance function, and perform active monitoring of the requirements, and deliverables, including regular reporting. ·
- Ensure all the corporate documents are in proper order.
- Perform other tasks assigned by the management board.
- Good understanding with a well-rounded knowledge of law and regulations in Thailand.
- Strength in planning and management with a track record in handling multiple projects and cases in a fast-paced with the ability to work under pressure.
- Possesses strong written, communication, and analytical skills and is results-driven.
- Able to organize and prioritize work in a dynamic and complex environment to meet deadlines and daily requirements
- Highly analytical with a strong attention to detail and a pragmatic approach.
- Good English communication skills, both verbally and in writing
- A minimum of 8 years of experience in legal and/or compliance.
- Experience in a law firm is a must
- Proven background in corporate law
