Duties and Responsibilities :

  • Draft and submit reports and disclosures to SET and SEC.
  • Executes and maintains all required official corporate filings, securities disclosure, reports and records.
  • Ensures the company and the Board and Executives comply with the relevant laws and regulations including the Articles of Association, resolutions of the Board, resolutions of the AGM, and corporate good governance practices.
  • Plans and executes all Board meetings, shareholder meetings, executive committee meetings and risk management committee meetings.
  • Manages the coordination with the Board members and shareholders executive committee meetings and risk management committee meetings as required.
  • Oversees the right of shareholders and create good relationship with the shareholders and all stakeholders as required.
  • Advises a Board of Directors and sub-committees on its goals and duties as well
  • Provides support for Directors and Executives to realize the roles and responsibilities under the relevant laws and regulations and also including the training courses in their relevant areas.
  • Reviews and provide recommendations on directors qualifications throughout the term of directorship to ensure compliance with regulatory requirements
  • Executes, files and maintains corporate documents and updates all documents relating to change in directors, authorization, shareholders including the Company Secretary duties under the SEC Act, Section 89/15 and 89/16
  • Advises on capital structure and updates relevant filing for capital increase/ decrease.
  • Arrange and advise an orientation program to a new director
  • Perform any other duties as assigned by the Company

Qualifications :

  • Bachelor in Business Administration ,laws, finance/accounting or related fields.
  • Minimum 10 years experience in company or corporate secretary.
  • Strong knowledge of SEC/ SET rules, regulations and requirements, Public Company Act, Corporate and Commercial Law.
  • Good analytical skills and ability to work independently.
  • Self-motivated and result oriented, and attention to detail.
