About Us
Karra Law is hiring a remote full-time senior business attorney to join our team serving high growth startups and modern businesses. You will spend a large portion of your time drafting and negotiating commercial agreements and acting as outside general counsel on day-to-day legal questions. Work includes commercial contracts, privacy policies, terms of service, online product terms, and a steady flow of general business issues.
You will work directly with founders and leadership teams, structure companies and ownership, and serve as outside GC for a variety of different businesses. This is a high-trust, high-impact role designed for a lawyer who moves fast, thinks commercially, and wants to help build a new kind of firm.

Key Responsibilities
- Serve as outside general counsel for a portfolio of clients, handling day-to-day commercial, corporate, and general business matters
- Draft, review, and negotiate a wide range of commercial agreements, including customer and vendor contracts, MSAs, SOWs, NDAs, SaaS and technology licensing agreements, services, consulting, and independent contractor agreements
- Prepare, update, and negotiate online and product-related terms, including website and product terms of service, privacy policies and related notices, basic data processing addenda and privacy or security contract provisions
- Advise on startup and small business structuring for corporations and LLCs, including formations, founder and member equity splits, IP assignments, holding companies, and cap table planning
- Advise on corporate governance and equity matters, including restricted stock, option and incentive plans, unit or stock issuances, 83(b) questions, and investor onboarding
- Handle equity and ownership matters for corporations and LLCs, including new issuances, transfers, buybacks, and redemptions
- Serve as outside general counsel on board governance, employment related questions, commercial contracts, and risk management, balancing legal risk and business strategy
- Stay adaptable and willing to learn new verticals and areas of law as client needs evolve
- Help refine templates, playbooks, and workflows to improve speed and consistency across the practice
About You
- Juris Doctor (JD) from an accredited law school
- 5+ years of corporate or commercial experience, with a significant focus on commercial agreements and general corporate work for private companies (startups, growth stage, or closely held businesses)
- Trained at a Big Law firm, elite boutique, or high-quality in-house or outside GC environment, with exposure to emerging companies, commercial contracts, and capital or equity transactions
- Active attorney license in good standing
- Deep comfort drafting and negotiating commercial contracts and counseling business clients on contract risk and negotiation strategy
- Solid grounding in corporate and equity matters for corporations and LLCs, including formations, governance, and cap table and ownership work
- Confident owning matters and managing client relationships directly
- Enjoy the pace and energy of early stage and growth businesses and speak the language of founders and operators
- Comfortable advising across a wide range of matters (and interested in learning what you do not yet know)
- Operate with a business first mindset: practical, fast moving, and solution oriented

Bonus Points For
- Experience with venture capital, M&A, secondary sales, or more complex capital events
- Experience preparing or advising on privacy, data, and product issues for SaaS or other technology companies
- Familiarity with modern tech stack tools and an interest in using automation to work smarter
- Interest in productizing legal services or experimenting with tech and AI enabled delivery
