Position Overview
We're seeking an experienced attorney to join our team on a contract basis. The role focuses on guiding companies through early-stage financings and investment rounds. Our clients need sophisticated counsel for SAFE agreements, convertible notes, seed rounds, and Series A preparation.
Key Responsibilities
Draft investment and stockholder agreements
Structure and negotiate SAFE agreements and convertible notes
Draft and review term sheets
Prepare seed financing documentation
Guide Series A preparation and process
Structure bridge financing rounds
Handle investor rights agreements
Manage right of first refusal/co-sale agreements
Structure preferred stock terms
Advise on anti-dilution provisions
Guide investor relations and communications
Manage investment closing processes
Requirements
Juris Doctor (JD) from an accredited law school
Active attorney license in good standing
5+ years of subject matter experience
BigLaw training/experience strongly preferred
Deep understanding of startup financing
Experience with early-stage investment rounds
Knowledge of venture capital market terms
Experience advising growth-stage companies
Understanding of investor relations
Independent Contractor Relationship
Position structured as independent project-based engagement
Freedom to maintain other clients and practice areas
Flexibility to accept or decline matters based on availability
Autonomy to manage your own schedule and workflow
Ability to work from your own location
