Our client, a leading independent power producer in Africa, is searching for a skilled Senior Lawyer to join their team. Based in Cape Town, you will play a crucial role in ensuring good corporate governance across their operations.

Responsibilities:

  • Provide advice and support in respect of all legal aspects of the business, including internal structuring, intra-company service level agreements and re-organisations.
  • Undertake legal risk analysis and work with the commercial team to obtain all necessary approvals for proposed investments/acquisitions/disposals/joint ventures.
  • Assist with the preparation of internal approvals required including investment committee papers, board resolutions and board packs.
  • Assist with the preparation of policy documentation for the group, and to provide ongoing guidance and ensure adherence by project teams in relation to the anti-corruption and code of conduct policies of the group.
  • Assist the General Counsel and Company Secretary to ensure good corporate governance including working with Shareholders to document parent/shareholder arrangements and assisting with ad hoc corporate secretarial matters.

Requirements:

  • Bachelor's Degree in Law.
  • Minimum of 6 years post-admission experience, with demonstrated expertise in corporate governance, compliance and legal risk management.
  • Some M&A and Company Corporate experience would be helpful.
