Role Overview 

We are seeking an experienced Group Corporate Secretary to manage company secretarial, corporate governance, legal, compliance, and insurance-related matters across a global business operation. The successful candidate will serve as a trusted advisor to senior leadership, ensuring best practices in governance, regulatory compliance, corporate administration, and legal risk management. 

Key Responsibilities

  • Manage company secretarial functions across multiple jurisdictions, including incorporations, corporate transactions, restructures, and dissolutions.
  • Administer and maintain corporate records, statutory filings, resolutions, powers of attorney, and governance documentation.
  • Support and enhance corporate governance standards across the organization.
  • Provide legal and corporate governance advice to management and operational teams globally.
  • Support legal matters including contracts, employment matters, litigation, intellectual property, commercial agreements, and confidentiality matters.
  • Assist with the administration and renewal of global insurance policies and manage insurance-related queries.
  • Build and maintain strong relationships with shareholders, legal advisors, service providers, and external stakeholders.
  • Support compliance initiatives, sanctions-related matters, internal compliance policies, and training programs.
  • Identify opportunities to improve efficiency, governance processes, and operational effectiveness.
  • Collaborate with internal teams and contribute to broader corporate initiatives and projects.
  • Ensure compliance with corporate governance frameworks, legal requirements, and ethical standards.

Candidate Profile

  • Degree or Master's qualification in Law.
  • 7–10 years of experience within a professional services firm or an in-house company secretarial/legal function.
  • Membership with the Chartered Governance Institute or a similar professional body will be preferred.
  • Strong knowledge of corporate governance, corporate law, company secretarial practices, and contract drafting.
  • Excellent written and verbal communication skills.
  • Advanced proficiency in Microsoft Office and general IT applications.
  • Strong understanding of legal, governance, compliance, and regulatory requirements.
  • Excellent attention to detail, organizational, and planning skills.
  • Ability to work with senior stakeholders across multiple jurisdictions.
  • Strong analytical, problem-solving, and decision-making capabilities.
  • High levels of integrity, accountability, and professional judgment.
