About the role:
The firm is hiring an In-House Counsel & Compliance Officer. They work at an insane pace so you will need to be a self-starter with excellent EQ, strong time management skills, attention to detail, and the ability to work under pressure in a fast-paced and constantly changing environment.
You will work at the forefront of the most exciting venture investing and technological innovations, and will be required to proactively assess legal risks and provide creative and pragmatic solutions. We hope you will contribute to general intellectual discussions and also bring a vibrant, entrepreneurial spirit to the team.
Responsibilities:
Candidates should be willing to work on a wide variety of matters supporting their organization's activities including:
- Funds - reviewing marketing and diligence materials, verifying information for regulatory filings.
- Deals and investments - reviewing investment documents and managing deals processes for timely completion.
- Portfolio company requests - addressing routine matters including annual general meeting notices, stockholder consents, and KYC requests.
- Commercial agreements - independent review and/or drafting of templated or third-party service or commercial agreements with key corporate and governmental clients. Supporting commercial stakeholders on legal aspects of negotiations with clients and vendors. Review of inbound vendor agreements for general operations.
- Compliance - developing & reviewing company compliance policies, advising management on possible risks, creating and managing effective action plans in response to audit discoveries and compliance violations, ensuring all employees are educated on the latest regulations and processes.
Preferred Qualifications:
- 4+ years of experience in a law firm with experience supporting emerging or high-growth companies in general corporate and commercial work. Prior experience working in-house will be an advantage. Prior experience managing or supporting international/cross border commercial projects and/or working with investment funds will be a significant advantage.
- Law degree from a reputable university; bar admission
- Bilingual fluent in English and Vietnamese
- Action-oriented and able to independently handle multiple, competing tasks, with strong delivery focus. Proactive and able to independently move initiatives forward.
- Strong stakeholder management skills; ability to communicate confidently, clearly, and succinctly, coordinate multiple parties, and manage competing interests.
- Thrives in a fast-paced, often chaotic environment.
- Passionate about early-stage tech and venture capital.
Note: The salary budget is open depending on the candidate's experience and level:
- Senior Associate (3+ years)
- Manager (5+ years)
- Sr Manager (7+ years)
- Director/Principal (12+ years)
