About the job Company Secretary
We are seeking an experienced Company Secretary with a strong background in public listed companies (PLCs) to ensure compliance with corporate governance, regulatory requirements, and statutory obligations. The ideal candidate will be responsible for supporting the Board of Directors, ensuring adherence to Bursa Malaysia Listing Requirements, and overseeing corporate secretarial functions.
Key Responsibilities:
- Ensure full compliance with Companies Act 2016, Bursa Malaysia Listing Requirements, Securities Commission Malaysia Guidelines, and other regulatory bodies.
- Maintain statutory records, company registers, and ensure timely filing of returns with SSM (Suruhanjaya Syarikat Malaysia).
- Advise the Board of Directors and senior management on corporate governance best practices.
- Ensure compliance with ESG (Environmental, Social, and Governance) reporting requirements.
- Organize and manage Board of Directors' meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
- Prepare board papers, minutes, resolutions, and ensure proper documentation of board decisions.
- Act as the key liaison between directors, shareholders, regulators, and external stakeholders.
- Ensure proper drafting and execution of resolutions, agreements, and corporate announcements.
- Manage shareholder communications, annual reports, and regulatory disclosures.
- Monitor changes in legislation, corporate governance trends, and advise the company accordingly.
- Maintain strong relationships with Bursa Malaysia, SSM, Securities Commission, auditors, and regulators.
- Oversee corporate restructuring, mergers & acquisitions, and due diligence activities.
Qualifications and Experience:
- ICSA/MAICSA qualification or a licensed Company Secretary (SSM-certified).
- A member of The Malaysian Institute of Chartered Secretaries and Administrators (MAICSA) or equivalent.
- Minimum 10 years of experience in corporate secretarial roles, preferably in Public Listed Companies (PLCs).
- Strong knowledge of Bursa Malaysia Listing Requirements, corporate governance, and regulatory frameworks.
- Excellent understanding of corporate governance, compliance, and risk management.
- Strong communication, advisory, and negotiation skills.
- Ability to handle confidential matters with high integrity.
