We are seeking a talented Corporate & Securities Associate to join a leading international law firm in its Seattle office. In this position, you will:
- Counsel public companies on SEC reporting obligations and compliance.
- Advise clients on capital markets transactions, including IPOs, secondary offerings, and private placements.
- Provide strategic guidance on corporate governance matters, including board advisory work and shareholder relations.
- Represent private companies in corporate formation, governance, and transactional matters.
- Draft, review, and negotiate legal documents such as SEC filings, offering documents, and agreements.
- Collaborate with cross-disciplinary teams to provide innovative solutions for corporate and securities matters.
Ideal Candidate Profile
Experience and Expertise
- Years of Practice: Minimum of 3 years of experience in public company reporting, compliance, capital markets, and/or corporate governance.
- Transactional Background: Strong familiarity with SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and registration statements.
Educational Credentials
- Juris Doctor (JD): Degree from an accredited law school with excellent academic credentials.
- Bar Membership: Active bar license in Washington or eligibility to waive in.
