A top-tier AM 100 law firm is seeking a Securities Regulation & Corporate Governance Associate to join its San Francisco, CA office. This role offers the opportunity to advise public companies on securities law compliance, Exchange Act disclosure requirements, corporate governance standards, and regulatory matters.

This is an excellent opportunity for attorneys with AM 100 law firm experience, strong securities law knowledge, and expertise in advising public companies on regulatory compliance.

Ideal Candidate Profile

  • Juris Doctor (JD) Degree from a T-14 law school (Required).
  • Graduation Year Requirement: JD earned 2020-2022 (Junior to Mid-Level Associates Encouraged).
  • 2-4+ years of experience advising public companies on securities regulation and corporate governance matters.
  • Prior Experience at an AM 100 or AM 200 Law Firm (Required).
  • Experience in:
    • Advising on Exchange Act disclosure requirements (Forms 10-K, 10-Q, 8-K, proxy statements).
    • Compliance with SEC, NYSE, NASDAQ, and corporate governance standards.
    • Drafting and reviewing annual and quarterly reports, proxy statements, and investor communications.
    • Counseling boards of directors, committees, and executives on governance best practices.
    • Managing public company reporting obligations, shareholder engagement, and regulatory filings.
  • Strong legal research, writing, and analytical skills with attention to detail.
  • Bar Admission in California or eligibility to waive in.
  • Consistent Employment History with no unexplained gaps or frequent job-hopping.

Compensation & Benefits

  • Salary Range: $260,000 $365,000
