The Opportunity
We are seeking a Mid-Level Corporate Associate to join a renowned Capital Markets and Public Companies Group in their Bay Area (Silicon Valley or San Francisco), Seattle, Santa Monica, New York, or Washington D.C. offices. This is an excellent opportunity for an attorney with over three (3) years of experience advising public companies and investment banks. The role focuses on SEC compliance, disclosure, governance, and capital markets transactions such as IPOs, SPACs, direct listings, and follow-on offerings.
As a member of a dynamic team, you'll work with some of the most innovative technology and life sciences companies, handling cutting-edge legal matters in the fast-evolving capital markets space.
What You'll Do
- Lead with Purpose: Provide strategic advice to public companies and investment banks on SEC compliance, corporate governance, disclosure, and capital markets transactions.
- Analyze and Innovate: Advise clients on IPOs, SPACs, direct listings, and follow-on offerings, navigating complex regulations and market trends.
- Collaborate for Success: Work closely with internal teams across various practices to ensure seamless execution of client matters, including those in the technology and life sciences sectors.
- Deliver Excellence: Use your expertise to guide clients through critical transactions and regulatory matters, ensuring compliance with SEC regulations and corporate governance best practices.
What You Bring to the Table
- Experience: At least 3 years of experience advising public companies, investment banks, or both, in capital markets transactions, SEC compliance, governance, and disclosure.
- Education: J.D. from an accredited law school with superior academic credentials.
- Skills: Excellent written, oral, and interpersonal communication skills, with the ability to manage complex legal matters and client relationships.
- Bar Admission: Must be barred in the state of the office you are applying to or eligible to sit/waive into the next bar exam.
- Industry Focus: Experience with or an affinity for working with technology and/or life sciences companies is preferred.
Your Skillset
- Capital Markets Expertise: Experience in handling IPOs, SPACs, direct listings, and follow-on offerings.
- Regulatory Knowledge: Deep understanding of SEC regulations and corporate governance best practices.
- Client-Facing: Ability to interact effectively with clients, offering strategic legal advice on critical matters.
- Collaboration: A team-oriented approach, working cross-functionally with different legal practices to deliver optimal results for clients.
