The Opportunity

We're seeking a Corporate Associate (Securities/Capital Markets) with 3+ years of experience to join a prestigious Am Law 100 firm in New York. This role offers the opportunity to work on sophisticated securities and capital markets transactions while being part of a dynamic and collaborative legal team.

Key Responsibilities

• Represent issuers and underwriters/placement agents in capital markets transactions under the Securities Act of 1933.
• Advise public companies on compliance with Securities Exchange Act of 1934 filings, corporate governance, and regulatory matters.
• Provide strategic counsel on securities law and capital markets matters, both independently and as part of a team.
• Deliver high-quality client service in a fast-paced, complex transactional environment.

Qualifications

• Experience: Minimum of 3 years in capital markets, including representing issuers and underwriters in securities offerings and advising public companies on compliance matters.
• Education: JD or LLM from an ABA-accredited law school.
• Licensure: Admitted or eligible for admission in New York.
• Skills:
• Strong written and oral communication.
• Exceptional organizational skills and attention to detail.
• Ability to manage competing priorities and meet tight deadlines.
• Effective collaboration within team settings.
