A top-tier AM 100 law firm is seeking a highly skilled Restructuring & Special Situations Finance Associate to join its Houston, TX office. This role offers the opportunity to work on complex corporate restructurings, distressed asset transactions, debt financing, and special situations lending for private equity sponsors, financial institutions, and corporate borrowers.

This is an excellent opportunity for attorneys with AM 100 law firm experience, strong transactional skills, and a deep understanding of restructuring, distressed debt, and financial workouts.

Ideal Candidate Profile

• Juris Doctor (JD) Degree from a T-14 law school (Required).
• Graduation Year Requirement: JD earned 2018-2022 (Mid-Level to Senior Associates Encouraged).
• 3-6+ years of experience handling corporate restructuring, distressed debt transactions, and special situations finance.
• Prior Experience at an AM 100 or AM 200 Law Firm (Required).
• Experience in:
  • Advising creditors, investors, and distressed companies on financial restructurings and special situations financings.
  • Structuring and negotiating out-of-court debt restructurings, bankruptcy proceedings, and asset sales under Section 363.
  • Drafting and negotiating credit agreements, intercreditor agreements, and security documents.
  • Representing hedge funds, private equity sponsors, and financial institutions in distressed asset acquisitions.
• Strong knowledge of the U.S. Bankruptcy Code, UCC Articles 8 and 9, and distressed M&A.
• Exceptional Legal Writing & Research Skills with strategic problem-solving abilities.
• Bar Admission in Texas or eligibility to waive in.
• Consistent Employment History with no unexplained gaps or frequent job-hopping.

Compensation & Benefits

• Salary Range: $260,000 $450,000
