Position Summary
The Head of Legal & Corporate Affairs will lead the organization's legal, corporate governance, and regulatory compliance functions. This role ensures that the company's operations and strategic initiatives are fully compliant with applicable laws, regulations, and internal policies.
The incumbent will act as a trusted advisor to senior leadership on all legal, corporate, and governance matters, and will safeguard the company's interests while enabling business growth.

Key Responsibilities:

Legal Management

  • Oversee and manage all legal matters, including but not limited to contracts drafting and review, litigation/ dispute resolution, intellectual property, and employment law issues.
  • Provide proactive legal advice and support to the executive team and business units.
  • Manage relationships with external legal counsel and monitor their performance and costs.
  • Draft, review, and negotiate complex contracts and strategic agreements.

Corporate Affairs & Governance

  • Oversee corporate secretarial functions, including board meetings, minutes, and compliance with corporate governance standards.
  • Ensure compliance with corporate laws, SECP requirements, and other statutory obligations.
  • Advise the Board and senior management on corporate governance best practices and regulatory changes.
  • Support the preparation and filing of annual reports, resolutions, and disclosures.

Regulatory Compliance & Risk Management

  • Implement the organization's compliance framework, policies, and procedures.
  • Monitor evolving laws and regulations relevant to the industry.
  • Conduct periodic legal and compliance risk assessments and recommend mitigation
    measures.
  • Investigate and manage any compliance breaches and/ or legal risks.

Stakeholder Engagement

  • Represent the company before government departments, regulators, and external stakeholders on legal and corporate matters
  • Support corporate communications in managing the company's reputation and stakeholder engagement.

Team Leadership & Development

  • Lead, mentor, and develop the Legal & Corporate Affairs team to build functional expertise and business understanding.
  • Set clear objectives, KPIs, and performance expectations for the team.
  • Foster a culture of collaboration, accountability, and continuous improvement.
  • Assess capability gaps and plan training, coaching, and succession for key roles.
  • Manage departmental budget, resource allocation, and workload planning.

Qualifications & Experience

  • LLM/BCL/JD/Solicitor/Bar at law.
  • Minimum 15-20 years of progressive legal and corporate affairs experience, with at least 5 years in a leadership role.
  • Proven experience in a large manufacturing or industrial organization is preferred.
  • In-depth knowledge of corporate law, commercial law, contracts, and regulatory frameworks.
