About the job SENIOR LEGAL COUNSEL (Oil and Energy)
* Provide legal advice on a broad range of matters and conduct legal research and analysis to support decision-making while ensuring compliance with applicable laws.
* Prepare for and support management at Board meetings, including drafting agendas, preparing minutes, and organizing legal documentation to ensure compliance with governance standards.
* Maintain accurate and comprehensive corporate records and assist in implementing corporate governance policies and procedures.
* Draft, review, and negotiate contracts, agreements, and other legal documents, while maintaining a centralized contract management system.
* Assist in providing legal support for mergers, acquisitions, joint ventures, and divestitures, ensuring thorough legal due diligence and alignment with the company's strategic goals.
* Support the legal structuring of transactions, including the development of special purpose vehicles, share purchase agreements, and restructuring of entities.
* Collaborate with finance and tax teams to evaluate the legal and financial implications of transactions, ensuring all legal risks are identified and mitigated.
QUALIFICATIONS
LLB or equivalent education from an accredited college or university.
Minimum of 8 years of legal experience with a focus on power sector, corporate governance, and company secretarial duties.
