Responsibilities:

  • Ensure compliance with SECP regulations, Companies Act, and other applicable laws.
  • Maintain and update statutory registers, corporate records, and meeting minutes.
  • Liaise with legal advisors, regulatory bodies, and other stakeholders for corporate compliance.
  • Organize, schedule, and coordinate Board of Directors meetings, AGMs, and EGMs.
  • Prepare and distribute board agendas, meeting minutes, and action items.
  • Advise the board on corporate governance policies and best practices.
  • Ensure proper documentation and communication between the company and shareholders.
  • Review, draft, and manage corporate contracts, MOUs, and legal agreements.
  • Develop and oversee internal compliance policies to mitigate legal and financial risks.
  • Support risk management frameworks related to data protection, IT security laws, and intellectual property rights.
  • Ensure the organization adheres to corporate ethics and best governance practices.
  • Qualifications & Skills:

    • Education: LLB/LLM, ICSP/ICMA/CA/ACCA certification preferred.
    • Experience: Minimum 10-15 years of experience in a similar role, preferably in an IT or tech-driven company.
    • Strong knowledge of corporate governance, SECP regulations, and IT industry compliance frameworks.
