About the job Mergers & Acquisitions (M&A) Specialist - Deal Origination & Investments | Karachi | Onsite | PKR Salary

About Client:

Our client is a Japan-based investment firm established in 2015, with a physical presence in 30+ countries and 64 companies within our group of subsidiaries.

About the Role

We are looking for an experienced Mergers & Acquisitions (M&A) Specialist to join our Pakistan office.

The primary responsibility of this role will be to identify and originate potential investment and acquisition opportunities in Pakistan and develop relationships with business owners, promoters, CEOs, directors, and senior management.

This is not a general sales or conventional business development position.

We are specifically looking for a candidate with previous M&A experience gained within an investment bank, M&A advisory firm, corporate finance firm, brokerage house, transaction advisory firm, or similar organisation.

The ideal candidate should already have a strong professional network among business owners and senior decision-makers across different industries in Pakistan and be capable of identifying companies whose owners may be open to a long-term equity investment, partial or majority acquisition, strategic partnership, or business expansion opportunity.

Key Responsibilities

M&A Origination & Deal Sourcing

  • Identify established and suitable companies in Pakistan that may be potential investment or acquisition targets.
  • Develop and maintain a pipeline of potential acquisition and investment opportunities.
  • Utilise existing professional networks and industry relationships to identify potential targets.
  • Establish direct relationships with business owners, promoters, CEOs, directors, CFOs, and other senior decision-makers.
  • Approach potential targets professionally and confidentially to understand their investment or ownership objectives.
  • Identify businesses where Bold Investment's long-term equity investment and growth support may be suitable.
  • Understand the reasons and circumstances that may lead an owner to consider a strategic investment, partial sale, majority sale, succession, partnership, or expansion.

Preliminary Evaluation

  • Conduct initial assessment of potential target companies.
  • Review business models, ownership structures, financial performance, industry position, growth opportunities, and potential risks.
  • Obtain and analyse preliminary financial and corporate information.
  • Conduct initial valuation and financial analysis where required.
  • Prepare concise investment opportunity summaries for management review.

Transaction Support

  • Coordinate with internal management and external legal, financial, and due diligence advisors throughout the transaction process.
  • Support the M&A process from initial target identification through discussions, NDA, information gathering, due diligence, valuation, negotiations, and closing.
  • Maintain communication with potential sellers and their advisors throughout the transaction.
  • Assist in negotiations and preparation of transaction-related information.
  • Maintain accurate records and status updates for all potential acquisition opportunities.

Relationship Management

  • Build long-term relationships with business owners and senior executives across multiple industries.
  • Develop a strong network of entrepreneurs, corporate leaders, advisors, investment professionals, accountants, lawyers, and other M&A-related contacts.
  • Represent Bold Investment professionally during meetings and discussions with potential investment targets.
  • Maintain strict confidentiality regarding potential transactions and company information.

Required Experience & Qualifications

  • Bachelor's degree in Finance, Accounting, Business, Economics, or a related field.
  • Previous professional experience in M&A is mandatory.
  • Candidates should have experience working with an investment bank, M&A advisory firm, corporate finance firm, brokerage house, transaction advisory firm, or similar financial institution.
  • Practical exposure to M&A transactions, deal origination, target identification, valuation, due diligence, negotiations, or transaction execution.
  • Strong understanding of the M&A transaction lifecycle.
  • Good knowledge of financial statements and company valuation.
  • Understanding of concepts such as EBITDA, Enterprise Value, Equity Value, DCF, and comparable company analysis.
  • Established professional relationships with business owners, promoters, CEOs, directors, or senior management across different sectors in Pakistan.
  • Strong communication, negotiation, presentation, and relationship-management skills.
  • Ability to independently identify and approach potential acquisition targets.
  • Ability to handle confidential and commercially sensitive information professionally.

Preferred Candidate Profile

We are particularly interested in candidates who:

  • Have actual M&A transaction experience, rather than only general sales or business development experience.
  • Have worked on buy side transactions.
  • Have experience in deal origination and target sourcing.
  • Have an existing network of business owners and senior management in Pakistan.
  • Can identify companies where shareholders may be open to bringing in an investor or selling a significant equity stake.
  • Understand how to approach business owners and initiate confidential M&A discussions.
  • Have strong financial and commercial knowledge.
  • Can independently build and manage a pipeline of potential acquisition opportunities.
  • Are comfortable dealing directly with senior business leaders.
