Description:

The client is seeking an Associate with 3-5 years of relevant experience to join their Transactions Practice Group in the Dallas office. The role focuses primarily on M&A and securities matters for publicly and privately held middle-market/upper-middle-market companies, as well as private equity firms. This position offers significant exposure to US and international M&A transactions, and requires a collaborative associate who thrives in a team environment.

Key Responsibilities:

• Work on US and international M&A transactions, collaborating with a team and interacting directly with partners, senior associates, and clients.
• Represent clients in complex corporate matters, including mergers and acquisitions, financings, corporate governance, securities, and other commercial transactions.
• Draft and review transactional documents and offer practical, strategic advice to clients.
• Contribute to an energetic, collaborative culture, focusing on professional and personal development.

Qualifications:

• 3-5 years of experience in corporate law, with a focus on M&A, financings, corporate governance, and securities.
• Strong document drafting, communication, and interpersonal skills.
• A positive attitude and exceptional work ethic.
• Comfortable with direct client interaction and collaborating with teams.
• Must hold a JD from an ABA-approved law school and be in good standing as an active member of the Bar in the jurisdiction(s) where the candidate is admitted to practice. Timely admission to the Texas Bar will be a condition of employment.
